Development Closing Coordinator

REPORTS TO: Manager of Development

STATUS:  Exempt

ESSENTIAL JOB DUTIES AND RESPONSIBILITIES:

  • Coordinate closing logistics including preparing closing checklists and facilitating and overseeing the execution of documents while organizing closing documents binders and contacting and communicating with title companies, attorneys, government agencies, etc.
  • Prepare documentation for formation, amendments, withdrawals, mergers, and dissolution of corporations, partnerships, and/or limited liability companies while maintaining proper records
  • Corporate and partnership record maintenance (i.e.: annual filing requirements, trademark filings, etc.) in compliance with state and federal laws
  • Collaborate and maintain positive business relationships with all internal and external customers
  • Process legal documents and maintain electronic files of relevant documents, monitor case schedules and filing deadlines, as well as draft correspondence to support the day to day business activity
  • Coordinate and participate in weekly closing meetings
  • Have a strong working knowledge or expert level of understanding the company's compliance process
  • Support all aspects of licensing and compliance, including annual reports, including researching compliance criteria, preparing licensing and compliance documents, and working with state and local officials on an ongoing basis
  • Form Tax Credit Ownership Entities with appropriate Secretary of State
  • Coordinate and form Tax ID set up for Entities
  • Interpret designated Authorities for documentation execution
  • Direct Liaison with Attorney/Developers/Title Agent
  • Review legal documents related to acquisitions, leases, regulatory matters, contracts, NDA, etc.
  • Manage Pre-closing Meetings
  • Manage corporate governance, minute books and other documents pertaining to legal processes and issues
  • Monitor and Manage Closing Checklists
  • Coordinates and Assists the preparation of Closing Documents
  • Assist with filings, document revisions, correspondence, and other clerical functions to improve the efficiency and performance of the department
  • Document Review
  • Coordinate and Assist with Equity/Debt/Construction Loan Closing
  • Monitor and maintain document scanning process to insure that documentation is organized and available to Associates upon request
  • Ensure restrictive covenants are filed and recorded in a timely manner
  • Search and identify development locations, Creating first draft proforma’s, coordinate with LDG financial analyst on rents and utility allowances to allow an accurate proforma to be created.  And Obtaining non-profit partners and keeping a working relationships in the Houston, Dallas/DFW, and Austin Markets.
  •  Compile all TDHCA application and help each development coordinator to complete local RFP’s to gain awards of tax credits and local funding.
  • Assist asset management with cost certifications and post-closing items.
  • Coordinate purchase contract deadlines and expiration date of TBRB reservation dates. Process pre-development invoices.  

MINIMUM SKILLS AND ABILITIES:

  • Proficient competency with computer and software including Microsoft Word, Excel, Outlook, and PowerPoint.
  • Strong ability to communicate effectively, both in oral and written form. 
  • able to demonstrate their experience managing complex and lengthy project timelines and working with architects and engineers to secure building permits.
  • Very organized and detail-oriented with the ability to see the big picture.
  • Ability to handle pressure, meet deadlines, and set priorities for the workload.
  • Must be able to identify and resolve problems in a timely manner and gather and analyze information skillfully.
  • Acts as a team player with all employees.
  • Ability to work effectively with external vendors and customers; consistently exhibits a professional demeanor in dealing with others and works to maintain constructive working relationships.
  • Ability to travel to and from destinations as necessary.

 

PREFERRED QUALIFICATIONS

  • 2 or more years in real-estate development, multifamily property experience preferred or related industry.
  • At least 2 years paralegal or title agency experience a plus

WORK ENVIRONMENT  

Corporate office environment with travel up to 25% of the time.
