The Legal Analyst - Contracts is responsible for the review, negotiation, and administration of a wide range of commercial agreements to support Spacelabs’ global operations. This role ensures that contracts are aligned with company policies, mitigate risk, and support business objectives. The Legal Analyst - Contracts will work closely with internal stakeholders across legal, sales, procurement, and operations to facilitate timely and compliant contract execution as well as with external third parties.

 

***This position is located in Snoqualmie, Washington, with the expectation of onsite collaboration 3 days per week***

Responsibilities:
  • Draft, review, and negotiate a variety of commercial contracts, including customer agreements, vendor contracts, NDAs, service agreements, consulting agreements, group purchasing organization contracts, business associate agreements, pricing agreements, and manufacturing and supply chain contracts in a heavily regulated industry.
  • Analyze contract terms and conditions, determine the need for contract amendments or renewals; evaluate prior terms and conditions and make recommendations and/or negotiate changes within guidelines to protect the company’s interests.
  • Provide guidance to internal teams on contract terms and negotiation strategies.
  • Ensure contracts comply with applicable laws, regulations, and internal policies.
  • Review and analyze Requests for Proposals, RFIs, bids, and similar.
  • Collaborate with internal stakeholders to identify and mitigate contractual risks.
  • Maintain contract templates and support continuous improvement of contracting processes.
  • Track contract status, manage renewals, and ensure timely execution and archiving.

  • It is the responsibility of every employee to report to their manager or a member of the senior management of any quality problems or defects in order for corrective action to be implemented and to avoid recurrence of the problem.
  • Duties may be modified or assigned at any time to meet the needs of the business.
Qualifications:
  • Bachelor’s Degree or higher.
  • 2+ years’ internal and customer-facing contracts experience required (within an in-house law department, preferred).
  • Strong understanding of contract law and commercial terms.
  • Proficiency in MS Office Suite, including Microsoft Word, Excel, PowerPoint, and Outlook.
  • Ability to earn trust, maintain positive and professional relationships, and contribute to a culture of inclusion.
  • Strong independent problem-solving, analytical, investigative, and critical thinking skills.
  • Strict attention to detail.
  • Background in the medical device, pharmaceutical, or related healthcare industry, preferred.
  • Familiarity with healthcare regulations: Sunshine Act, HIPAA, False Claims Act, preferred.
  • Prior experience with M-Files documents and contracts management system, preferred.
  • Experience with PowerPoint, SharePoint website maintenance for the Law Department, preferred.
