Description
We are seeking a highly organized and resourceful Paralegal to provide comprehensive support to the Chief Legal Officer in a fast-paced, hands-on legal department. As the sole paralegal in the company, you will play a key role in managing day-to-day legal operations, assisting with contract review and organization, corporate governance, and transaction support. This position is ideal for a proactive professional who enjoys working independently, taking initiative, and contributing across a wide range of legal and administrative functions.
This position is remote. Applicants should reside in the New York metropolitan area, as commuting to the region is required 2-3 times per year.
Responsibilities.
- Assist the Chief Legal Officer to draft, review, and edit contracts and other legal documents including but not limited to consignments of wine and spirits for sale at auction, retail, vendor contracts, commissions, NDAs, and independent contractor agreements.
- Manage and maintain corporate records, including entity formation documents, resolutions, and compliance filings.
- Track licenses and intellectual property deadlines and renewal dates and assist in renewing licenses.
- Assist with claims including the review of documents, processing subpoenas and additional information requests.
- Conduct due diligence, including review of corporate documents, lien searches, and filings.
- Research and summarize applicable laws, regulations, and case precedents as needed.
- Acts as liaison to the legal department for other Company employees.
- Maintain, file, and organize correspondence and legal documents in Dropbox.
- Assist in preparing, reviewing, and revising transactional agreements related to financing arrangements and secured transactions.
- Provide general administrative support to the Chief Legal Officer.
- Handle special projects and other duties as assigned by the Chief Legal Officer
Requirements
- Bachelor’s degree from a nationally recognized university.
- 1+ years of experience as a paralegal, ideally in a corporate or in-house legal environment.
- Highly organized, proactive and motivated.
- Strong sense of confidentiality, discretion, professionalism, and accountability.
- High degree of discretion, diligent and dependable character with a strong work ethic.
- Excellent verbal and written communication skills.
- Strong attention to detail and follow-through on assigned and unassigned tasks.
- Must be able to perform and prioritize multiple tasks simultaneously and efficiently meet constant deadlines.
- Ability to interact calmly and patiently.
- Proficient with Microsoft Office (e.g. Outlook, Word, Excel) and Adobe Acrobat.

Pay Range: $60-$70,000 based on legal experience
