As a member of the Office of the Corporate Secretary, the Governance Analyst will work with the group Secretary, Assistant Secretary, Governance Director, Investment Legal Analyst and Administrator to support the global operations and needs of the corporate governance function of a dynamic global insurance organization. Utilizing knowledge of governance and secretarial practices in a regulated environment, as well as advanced communication and organizational skills, the Governance Analyst will provide support on day-to-day governance-related tasks as well as on specific projects and strategic initiatives for the entire Starr group.
Principal Duties and Responsibilities:
The principal duties and responsibilities of the Governance Analyst include high quality support in the following areas, with a focus on international group entities and investment operations:
- Board and committee management, including the oversight and implementation of the group’s overall governance checklist and meeting schedule, though the preparation, compiling and distribution of meeting agendas and packs utilizing a board portal, minute-taking, action tracking, terms-of-reference maintenance;
- Investment governance, including investment committee administration, coordinating maintaining investment guidelines, investment-related approvals, delegation of authority frameworks and signers matrix;
- Subsidiary governance and entity management, including drafting corporate resolutions, maintaining directors and officers records and delegated authorities, providing support in connection with incorporations, dissolutions, and reorganizations, responding to information requests pertaining to the group’s legal structure;
- Regulatory governance, including coordinating governance inputs for regulatory filings and examinations and performing legal research across regulated insurance jurisdictions to ensure governance requirements are being met;
- Governance policies and charters management, review and mapping while ensuring alignment within reporting;
- Specific projects and strategic initiatives designed at strengthening the overall governance of the entire Starr group; and
- Communication and coordination with i) subsidiary company secretaries, ii) Regulatory, Tax, Finance and Treasury teams and iii) external counsel and service providers on various international corporate governance matters.
Experience and Qualifications
- At least 3-5 years of relevant corporate governance experience in a corporate environment or at a nationally recognized law firm with company secretarial and/or paralegal experience, training or certification;
- Familiarity with regulated financial services and/or insurance industry frameworks and regulations (domestic and international) preferred; and
- Degree in law and/or compliance background is a plus.

- Strong organizational skills and high attention to detail;
- Ability to ensure company recordkeeping, retention and confidentiality standards;
- Highly collaborative, ability to work in a team environment and to interact with personnel from all levels of the organization, including senior stakeholders diplomatically and discreetly;
- Judgment, decision making and problem-solving ability;
- Proficiency with Microsoft Word, PowerPoint, Visio and Excel and familiarity with board portal, entity management, e-signature platforms;
- Experience coordinating across time zones is a plus;
- Language skills beyond English are a plus; and
- Interest in continuous process improvement is a plus.
For individuals assigned and/or hired to work in New York, Starr Insurance Companies is required by law to include a reasonable estimate of the compensation range for this role. The wage range for this role takes into account the wide range of factors that are considered in making compensation decisions including but not limited to skill sets: experience and training: licensure and certifications: and other business and organizational needs. A reasonable estimate of the current range is $77,000 - $119,000.
