The Role

Reporting to a Manager within the LSEG Company Secretariat team based in London, this role will contribute to the LSEG Company Secretary team’s mandate to ensure that the implementation of corporate governance requirements are met and that appropriate legal and statutory compliance is maintained for the Group. This role will assist with providing the highest quality of company secretarial and governance support to portfolio of subsidiaries. In addition, the role will work with and support other colleagues within the Company Secretariat team.

This position would be ideal for a committed Company Secretarial professional who is looking to challenge themselves within a driven and friendly team environment.

Key Responsibilities

  • Assisting the efficient and effective secretarial and administrative service to a portfolio of key subsidiaries including scheduling meetings, drafting agendas, preparing board packs, attendance at meetings, taking minutes at meetings, and following up on actions.

  • Handling statutory administration of subsidiaries including maintaining statutory records, responsibility for appropriate filings with Companies House and updating the Group’s database (GEMs) with any changes.

  • Handling the on-boarding, induction and annual programme of director training for a portfolio of key regulated subsidiaries including supplying relevant induction materials, supporting regulatory notifications (where required), and ensuring conflicts of interest are up to date, scheduling induction meetings and director training sessions etc.

  • Handling the year end statutory accounts process for UK subsidiaries including the review of subsidiary accounts and financial documentation as the need arises throughout the year.

  • Record keeping and responding to legal, regulatory and other external information requests, second line reviews and internal audit.

  • Supporting a range of governance projects as required.

Experience and Skills

  • Educated to degree level or equivalent, and part qualified /studying towards the Chartered Governance Qualifying Programme qualification.

  • Prior experience of working in a company secretariat function

  • Experience of drafting resolutions and related paperwork for subsidiary corporate actions.

  • Exposure to drafting Board or Committee minutes.

  • Friendly, with the ability to work collaboratively within a team.

  • A ‘can do’ attitude!

  • Strong attention to detail and communication skills, both written and verbal.

  • Strong level of IT literacy.

  • Previous experience using Diligent and GEMS is desirable, but not essential.
