Responsibilities
The Capital Solutions group advises companies as they navigate complex capital markets decisions. Clients rely on Ducera to structure and execute tailored financing solutions across credit, equity, structured equity, and hybrid capital. Drawing on deep transaction experience and an extensive global investor network, we help clients evaluate all available alternatives and execute optimal outcomes. Ducera has advised corporate and sponsor clients on a wide range of transactions, including acquisition financings, dividend recapitalizations, stressed and special situations financings, project finance, structured products, growth capital raises, and minority equity investments. Our integrated approach to structuring, capital provider access, and execution has made Ducera a trusted partner for clients’ capital needs.
A Senior Analyst / Junior Associate on our Capital Solutions team is expected to:
- Play an integral role in the origination and execution of financing mandates, including primary capital raises, refinancings, recapitalizations, and merger and acquisition financings, while working closely with senior bankers, clients, and investors.
- Draft and coordinate marketing materials to drive origination and execution efforts, including client pitches, capital markets updates, confidential information memoranda, investor presentations, and other ad-hoc client-facing materials.
- Build, refine, and maintain detailed financial models and credit analyses used directly in client materials, lender diligence, and financing negotiations.
- Prepare and interpret company and transaction comparables to assess market pricing, leverage tolerance, covenant structures, and investor appetite.
- Perform fundamental credit analysis, including assessment of business risk, cash flow sustainability, leverage and coverage metrics, covenant headroom, and downside scenarios.
- Manage day-to-day transaction execution workstreams, including data room setup and maintenance, diligence coordination, Q&A tracking, and interaction with lenders, investors, and other counterparties.
- Support investor outreach and capital formation efforts by maintaining investor databases, tracking feedback and indications of interest, and assisting with capital allocation analyses.
- Monitor financing market conditions, comparable transactions, and investor activity to inform financing strategies and client recommendations.
- Maintain internal transaction and pipeline tracking tools, ensuring accuracy and organization in a fast-paced, multi-mandate environment.
- Over time, take an active role in covering clients (financial sponsors, public companies, private corporates) and investors (alternative asset managers, direct lenders, credit hedge funds, etc.).
- Work closely with senior bankers and clients in a lean team setting, demonstrating ownership, judgment, and professionalism while managing multiple priorities and deadlines.
Qualifications
Qualified applicants will prove to be highly motivated and team-oriented with excellent leadership records. The successful candidate will demonstrate a strong background in financial modeling, finance, and accounting as well as possess excellent verbal and written communication skills, outstanding project management skills, and exceptional attention to detail. Additional qualifications include but are not limited to:
- Strong technical and corporate finance foundation, including detailed financial statement analysis, cash flow modeling, and the development of fully integrated financial projection models to support financing transactions.
- Intermediate working knowledge of the leveraged finance ecosystem, including leveraged loans, high yield bonds, and private credit, with a solid understanding of various capital structures, financing alternatives, and interpretation of credit agreements / indentures.
- Demonstrated proficiency in preparing and analyzing company and transaction comparables across leveraged loan, high yield, and private credit markets to assess pricing, structure, and market receptivity.
- Fundamental credit underwriting capabilities, including evaluation of business and industry risk, cash flow sustainability, leverage and coverage metrics, covenant headroom, and downside sensitivities.
- Experience supporting and executing capital markets and financing transaction processes, including preparation of lender and investor marketing materials, management presentations, data room coordination, and investor Q&A workflows.
- Strong organizational and process-management skills, with the ability to utilize technology and data tools to build and maintain financing databases, investor and lender relationships, market comps, and transaction pipeline tracking.
- Highly collaborative and team-oriented professional with a strong work ethic, attention to detail, and the maturity to interface directly with clients, investors, and senior deal bankers.
- Proactive self-starter with an entrepreneurial spirit that is comfortable operating within a lean organization and a desire to play an integral role in business development efforts / strategies.
Additional Information
To be considered, candidates must hold a bachelor’s degree (or foreign equivalent) and extensive knowledge of and background in capital markets.
Expected annualized base salary range of $125,000 – 200,000.
The annual base salary range reflects the low and high targets of the estimated base salary range for this position. The actual base salary an employee in this role receives may vary depending on a variety of factors, including but not limited to work location, job-related knowledge, and prior experience. The range listed reflects base salary only, and the total compensation package may include other components.
