Responsibilities

The Capital Solutions group advises companies as they navigate complex capital markets decisions. Clients rely on Ducera to structure and execute tailored financing solutions across credit, equity, structured equity, and hybrid capital. Drawing on deep transaction experience and an extensive global investor network, we help clients evaluate all available alternatives and execute optimal outcomes. Ducera has advised corporate and sponsor clients on a wide range of transactions, including acquisition financings, dividend recapitalizations, stressed and special situations financings, project finance, structured products, growth capital raises, and minority equity investments. Our integrated approach to structuring, capital provider access, and execution has made Ducera a trusted partner for clients’ capital needs.

A Director on our Capital Solutions team is expected to:

  • Take a leadership role in the origination and execution of financing mandates, including primary capital raises, refinancings, recapitalizations, and merger and acquisition financings, while working closely with senior bankers, clients, and investors.
  • Lead transaction execution processes with limited oversight, including the development of marketing materials, coordination of investor due diligence / Q&A, structuring of key deal terms, and negotiation of legal documentation relevant to financing transactions.
  • Identify and develop actionable financing ideas across a variety of transaction types tailored to financial sponsors, publicly traded companies, and privately held businesses.
  • Lead pitch development and client marketing efforts, including origination materials, market updates, capital structure analyses, and financing strategy recommendations with limited oversight from senior bankers.
  • Monitor leveraged finance and private capital markets to anticipate client needs and proactively surface opportunities driven by market dislocation, maturity walls, or strategic events.
  • Partner with senior bankers on broader business development initiatives, including coverage planning, white-space analysis, and sector-specific growth strategies.
  • Mentor junior team members, setting expectations for analytical quality, responsiveness, and professionalism that are consistent with a high-performance culture.
  • Lead, oversee, and manage ongoing efforts to develop proprietary databases, client coverage strategies, and tracking of business development opportunities.
  • Operate effectively in a lean, entrepreneurial environment, balancing origination responsibility with execution oversight and business development efforts.

Qualifications

Qualified applicants will prove to be highly motivated and team-oriented with excellent leadership records. The successful candidate will demonstrate a strong background in financial modeling, finance, and accounting as well as possess excellent verbal and written communication skills, outstanding project management skills, and exceptional attention to detail. Additional qualifications include but are not limited to:

  • Proven experience executing a wide variety of financing transactions within broadly syndicated debt / equity markets and / or private capital markets, with the judgment to manage processes, negotiate key terms, and resolve issues while delegating analytical workstreams.
  • Deep working knowledge of leveraged loans, high yield bonds, and private credit markets, including pricing dynamics, current market trends, and investor behavior.
  • Experience with and working knowledge of equity capital markets, including common equity, hybrid equity, preferred offerings, and PIPEs.
  • Strong fundamental credit underwriting skills, including assessment of business and industry risk, cash flow durability, leverage and coverage metrics, downside analysis, and identification of key areas of focus by investors.
  • Ability to independently frame financing strategies and transaction ideas, translating market conditions and client objectives into actionable advisory recommendations.
  • Track record of leading pitches, client presentations, and market discussions, with credibility in front of CFOs, private equity partners, and capital providers.
  • Strong commercial instincts and business development mindset, with comfort operating in a boutique, entrepreneurial environment.
  • Demonstrated leadership ability, including mentoring junior professionals and managing teams within a lean / boutique platform.

Additional Information

To be considered, candidates must hold a bachelor’s degree (or foreign equivalent) and extensive knowledge of and background in capital markets.

Expected annualized base salary of $250,000 – 275,000.

The annual base salary range reflects the low and high targets of the estimated base salary range for this position. The actual base salary an employee in this role receives may vary depending on a variety of factors, including but not limited to work location, job-related knowledge, and prior experience. The range listed reflects base salary only, and the total compensation package may include other components.
