You’ll draft, review, and negotiate a wide range of commercial contracts, from SaaS and licensing agreements to vendor and customer deals, ensuring balanced risk and business alignment. Beyond contracts, you’ll play a key role in corporate governance and M&A, assisting from start to finish. What you'll do:

Contract Management

  • Draft, review, and negotiate a variety of commercial agreements, including vendor, customer, SaaS, licensing, NDAs, and service agreements.
  • Develop and maintain contract templates and playbooks.
  • Provide guidance to internal stakeholders on contract terms and risk mitigation.

Corporate Governance & Transactions

  • Support M&A activities, including due diligence, deal structuring, and post-closing integration.
  • Assist with corporate governance matters, including entity formation, board resolutions, and compliance filings.
  • Coordinate with external counsel on complex transactions and international matters.

Legal Risk & Compliance

  • Identify legal risks and propose practical solutions aligned with business objectives.
  • Monitor changes in laws and regulations affecting the company’s operations.
  • Support internal compliance initiatives and training programs.
  • Identify patterns and trends to recognize potential problems; appropriately escalate complex legal and factual issues and assist in their resolution.

Cross-Functional Collaboration

  • Partner with teams across the organization (e.g., Finance, HR, Sales, Procurement, Product) to provide legal support and ensure alignment with company policies in a timely and efficient manner.
  • Help build scalable legal processes and tools to support business growth.
What you'll bring:
  • J.D. from an accredited law school and admitted to practice law in Wisconsin.
  • Minimum 1-3 years of relevant legal experience, preferably with a mix of law firm and in-house experience.
  • Strong background in commercial contracts and corporate law, including M&A.
  • Excellent drafting, negotiation, and communication skills.
  • Ability to manage multiple priorities and work independently in a fast-paced environment.
  • Business-oriented mindset with a practical, solution-focused approach.
  • Experience in a technology, SaaS, or high-growth company environment preferred.
  • Familiarity with property/casualty insurance, international contracts and cross-border transactions preferred.
