Corporate Paralegal
The Corporate Paralegal supports the General Counsel and Chief Executive Officer by delivering essential legal and administrative assistance across a variety of corporate, litigation, and real estate matters. Our ideal candidate has experience supporting attorneys and executives in all facets of legal operations, organizing case files, conducting legal research, preparing, reviewing, and managing legal documents, communicating with outside counsel, litigation management, and insurance claim management. This position plays a critical role in performing tasks within a high-volume, complex, and productive legal team, ensuring the accuracy and timeliness of legal operations, and improving efficiency and processes within our legal department.
Minimum Qualifications:
- Bachelor’s degree
- 3+ years of relevant experience in civil or commercial litigation, preferably in both an in-house legal department and law firm setting
- Strong understanding of legal terminology and procedures
- Excellent organizational, time management, written, and verbal communication skills
- Proficiency in Microsoft Office Suite
- Ability to maintain, organize, and assist with numerous legal files across several states
- Demonstrated ability to multitask and prioritize multiple, competing responsibilities in a fast-paced environment while maintaining excellency, efficiency, and timeliness
- Ability to stay abreast of changing laws and procedural requirements across several states
- Must exercise discretion with confidential and sensitive information
- Adaptable, self-motivated, detail-oriented, and a team player
Preferred Qualifications:
- Paralegal certificate from an ABA approved program
- Experience in the following areas of law: multifamily real estate, property management, construction law, insurance claim management, general corporate law, corporate governance, or corporate transactions
- Experience with accounting, bookkeeping, or general firm accounting an added bonus
- Familiarity with basic documents associated with real estate deals and loan financing
- Familiarity with drafting and reviewing vendor contracts, services agreements, confidentiality agreements, purchase agreements, and other form contracts
- Knowledge of corporate governance, structure, and compliance, including various forms of entities and applicable filings with the Secretary of State
Essential Functions and Responsibilities:
- Litigation Support (65%):
- Assist the General Counsel with all litigation matters, including fact investigation, discovery, document preparation and organization, and drafting of basic legal documents
- Coordinate with outside counsel to manage civil litigation
- Manage, investigate, and assist with insurance claims and claims management
- Organize and maintain complex files and checklists
- Communicate with internal and external stakeholders, vendors, and counsel to facilitate effective, efficient, and timely case management
- Proofread documents for accuracy, document processes, maintain electronic and hard copy records, and perform administrative tasks for the General Counsel
- General and Executive Administrative Support (20%):
- Maintain and meet critical deadlines
- Create systems and processes to facilitate and improve efficiency within the legal department
- Manage numerous matters concurrently
- Assist with labor and employment matters as requested
- Assist corporate executives with various daily tasks as assigned
- Contract Preparation and Corporate Governance (15%):
- Draft, assess, and review contracts across industries including vendor agreements, real estate, facilities management, construction, leasing, procurement, and property management
- Assist with negotiating contracts and subcontracts
- Contract management services, including contract review, preparation of summaries for General Counsel and other departments, facilitation of signatures, incorporation of contract revisions, management of key dates, and assisting with the development and enforcement of contract approval procedures
- Assist with corporate governance, compliance, and annual filings
