Overview:

Founded in 2001, National Advisors Holding, Inc. (“NAH”), along with National Advisors Trust Company (“NATC”), its wholly owned federally chartered trust company, and National Advisors Trust of South Dakota, Inc. (“NATSD”, and collectively, “NAT”), its wholly owned South Dakota chartered trust company, provides corporate directed trustee and custodial services to the financial services industry and the clients they serve.  NAT’s strong and growing asset base make the company one of the nation’s largest independent trust companies. Due to NAT’s continued growth, they currently seek a Corporate Paralegal in their Kansas City main location.

 

Responsibilities:

The Corporate Paralegal provides critical support to NAH’s legal and investor relations functions. Specifically, the Corporate Paralegal shall:

 

  • Provide administrative support to the General Counsel and other corporate counsel.
  • Provide support to the Board(s) of Directors and associated Committees, which includes;
    • Prepare Board of Directors meeting packets,
    • Prepare Board of Directors’ Committee meeting packets, including Audit & Risk, Finance, Governance, and Fiduciary & Trust, and
    • Draft Meeting Minutes, distribute draft(s) to Corporate Secretary, organize and retain records of prior Meetings’ Minutes.
  • Provide support to Management Committees, which includes;
    • Prepare Enterprise Risk, Fiduciary Risk, Trust Management & Operating Committee meeting packets, and
    • Record and Maintain Action Items for future address/resolution.
  • Prepare, review and distribute contract packets for vendors and clients, track status and return of such, review and identify changes and organize and retain executed contracts.
  • Assist with maintenance of standard form contracts with clients, vendors and other third parties.
  • Maintain corporate legal files and original documents.
  • Assist and maintain all corporate records, including incorporation documents, by-laws, corporate resolutions, annual reports, committee charters and other governance documents.
  • Assist with Long-Term Incentive Plan administration.
  • Monitor corporate litigation with outside counsel & respond to subpoenas and discovery requests.
  • Provide administrative support as necessary.
  • Conduct legal research and drafting as assigned.
  • Provide support for special projects as assigned.
  • Compliance with BSA/AML/OFAC-related laws and regulations as it applies within the scope of this position, including but not limited to, prompt completion of required BSA/AML/OFAC training.

 

Qualifications:

  • 0-3 three years’ experience in corporate legal department or law firm required.
  • Paralegal Certificate or Associate degree in paralegal studies required.
  • Proven ability to problem-solve and formulate strategies and concepts.
  • Strong attention to detail with excellent analytical skills and ability to multi-task in a fast-paced environment.
  • Strong organizational skills
  • Strong written and verbal communication skills with the ability to effectively communicate conceptual strategies and practical tactics across employee base.
  • Ability to interact effectively with co-workers and management.
  • Discretion, including maintaining proprietary and confidential information
  • Proficient in Microsoft Office applications.

Salary Range: $50,000-$75,000
