Institutional Banking and Markets (IB&M) is responsible for managing the Group’s relationships with major corporate and government clients and institutional investors, and provides a full range of capital raising, transactional and risk management products and services.

Our purpose is to: Build Australia’s future economy. IB&M also performs an important internal role for the Group by providing global markets, trade finance, corporate and institutional lending to other CBA business units that allows them to capture opportunities with business and retail customers.

Global Institutional Banking Coverage (GIBC or Coverage) leads banking relationship management and the provision of transaction banking, risk management and capital solutions to our clients. The team’s purpose is to provide IB&M clients with solutions across the financing spectrum to support their strategic objectives.

GIBC teams include:

  • Institutional Client Coverage (ICC) – supporting our clients within Non-Bank Financial Institutions (NBFI) and Banks, Government & Education (BGOVE)
  • Corporate Client Coverage (CCC) – supporting our clients within Industrials, Transport & Consumers (ITC) as well as Future Cities & Network (FCN)
  • Natural Resources, Energy & Carbon (NREC)

L1 Operational Risk and Controls (Embedded team), Transaction Banking Solutions (TBS) and the Chief Operating Office (COO) along with the Sustainable Finance and Environmental, Social and Governance (SF & ESG) team support these teams.

Our Loan Structuring & Execution (LSE) team is embedded within the global Non-Bank Financial Institutions (NBFI) team and works closely with Origination, Syndications, Risk, Legal, and Market Operations to structure and execute tailored lending facilities for NBFIs.

Do work that matters:

Your main responsibilities will include:

  • Take a leading role in the structuring, negotiating, documentation and execution of bilateral, club, and syndicated funds finance facilities out of the UK, Europe and the US.
  • Negotiate facility terms, term sheets, and engagement letters with clients and external counsel.
  • Review and negotiate financing documentation including facility agreements, security documents, legal opinions, and due diligence reports.
  • Provide strategic advice to internal stakeholders and clients, exercising sound commercial and legal judgment.
  • Assist with transaction origination activities.
  • Ensure compliance with internal credit policies, risk frameworks, and regulatory requirements.
  • Support post-close documentation maintenance and contribute to policy development and process improvement.

We’re interested in hearing from people who have:

  • A minimum of 5 years of experience in banking and finance, ideally legally trained with a minimum 5 years PQE gained either in private practice or in-house in a large financial services organisation, however, we are open to considering other finance backgrounds which may be suited to this role.  A background in funds finance will be highly regarded but is not mandatory.
  • An in-depth knowledge of banking documentation, including LMA documentation and other industry standards, UK/European loan market terms  and finance documentation generally.
  • Deal structuring experience, including knowledge of credit and risk management principles, policies and procedures.
  • Experience negotiating legal documentation and managing external counsel.
  • Excellent communication and stakeholder management skills.
  • Strong collaboration skills with the ability to work well independently and as part of a team.
  • Tertiary qualifications in Law, Finance, or a related discipline.
