Manhattan West Enterprise Company (“Manhattan West”) is seeking an experienced and highly qualified General Counsel to serve as the firm’s sole in-house legal professional. This executive-level role will be responsible for managing all legal affairs of the company and its affiliated entities. The General Counsel will provide strategic legal guidance to senior leadership, oversee investment-related transactions, ensure regulatory compliance, and manage key contractual relationships.

This full-time, exempt position reports directly to the Chief Executive Officer and is based in Century City, Los Angeles. We are considering Los Angeles residents ONLY.

Key Responsibilities:

• Serve as the primary legal advisor to Manhattan West’s executive team, investment professionals, and fund managers.
• Oversee and manage all legal aspects of investment transactions, including the structuring, drafting, and negotiation of complex agreements across alternative investments, real estate, venture capital, and other asset classes.
• Draft, review, and negotiate a wide range of contracts, including client agreements, vendor contracts, employment agreements, leases, and fund formation documents.
• Collaborate with the Chief Compliance Officer on all regulatory and compliance matters, including AML/KYC, SEC filings, and other relevant obligations.
• Provide legal guidance on tax, human resources, intellectual property, and general corporate governance issues.
• Lead and manage outside counsel on specialized legal matters, ensuring cost-effective and outcome-oriented results.
• Support fund managers with legal due diligence related to investment opportunities and business development initiatives.
• Identify and mitigate legal risks while enabling the firm’s strategic and operational objectives.

Qualifications:

• J.D. from an ABA-accredited law school, with strong academic credentials.
• A minimum of 10 years of legal experience, ideally a combination of top-tier law firm and in-house legal roles in investment management, private funds, or financial services.
• Member in good standing of the California State Bar.
• Deep familiarity with the Investment Advisers Act of 1940, securities regulations, and private fund governance structures.
• Demonstrated experience handling complex transactions, contract negotiations, and strategic legal initiatives in a fast-paced business environment.
• Experience with M&A in sports, media, and entertainment sectors is a strong plus.
• Proficient in Microsoft Word and Excel; capable of reviewing and interpreting financial reports (balance sheets, income statements, cash flow).
• Must be authorized to work in the U.S. and successfully complete all pre-employment requirements, including a background check.
