Position Title:  Sr. Legal Counsel - Real Estate and Development NAM

Location: San Francisco, CA

Your role

This position, based in San Francisco, is an opportunity to join our Real Estate and Operations legal team as a senior attorney supporting members of our portfolio management, design and construction, property operations, energy and sustainability, and global procurement teams on real property, construction, and procurement matters. The successful candidate will be diligent, self-motivated and proactive, able to handle and prioritize time-sensitive projects in a dynamic and fast-paced environment, and have demonstrated excellent legal skills, business judgment, strategic thinking and the ability to work independently and in team settings.

Primarily, you will responsible for (i) drafting and negotiating global and local agreements for procurement of equipment, materials and services related to development, operation and maintenance of data center properties, (ii) drafting and negotiating data center property and operational documents, including design and construction agreements, energy procurement agreements and other agreements related to North America data center properties, and (iii) provide internal clients sound advice regarding risks, legal terms and negotiation strategy with respect to data center property development, ownership and operation, including CC&Rs, joint venture arrangements, easements, development entitlements, environmental matters, sustainability arrangements and energy procurement. The role anticipates the ability to take ownership of complex transactions from a legal perspective, with discernment to appropriately escalate legal risks.

The Role:

  • Draft, negotiate and review construction and design contracts, service agreements, and agreements for the general procurement of equipment and services domestically and internationally to support data center development and operation, including:
  • Complex, multi-tiered and multi-jurisdictional master service agreements, based on Digital’s standard templates and third-party forms.
  • Construction agreements, design agreements and other one time or single location procurement agreements.
  • Orders, addenda or amendments for equipment and services.
  • Manage outside counsel effectively and efficiently, including local counsel and specialized counsel, as needed.
  • Provide legal support to asset management and property operations teams related to the entire data center property lifecycle, including advice regarding CC&Rs, joint ventures, easements, construction and entitlement, sustainability, energy, procurement and other matters related to ownership and operation of data center properties.
  • Support the continuous improvement of standard forms and the development and improvement of policies and procedures for the Legal Department.
  • Help evaluate legal strategy, and identify and mitigate risk, with respect to the foregoing.
  • Work closely with the business to streamline negotiations and remove barriers to execution to achieve business goals while thoughtfully balancing risk.
  • Execute assigned projects, including the development and implementation of processes, as determined by the needs of the global Legal Department.

The Requirements                                                      

  • Juris Doctor from an ABA accredited law school; license in good standing with at least one state bar (with eligibility for in-house counsel registration if necessary)
  • 5-10 years of relevant substantive legal experience (law firm and/or corporate legal department, with a preference for experience at an internationally recognized law firm). 
  • Experience with real estate transactions and construction agreements strongly preferred, and experience with materials and services procurement and data center industry preferred.
  • Solid analytical, problem-solving and critical-thinking skills.
  • Comfortable with balancing multiple, competing priorities and changes in scope/direction.
  • Self-starter, with the ability to follow through on matters and bring them to resolution in a timely and reasonable manner, escalate issues appropriately, work well independently and collaborate.
  • Detail oriented, organized, friendly, approachable, professional demeanor and disposition.

Our published pay ranges reflect the minimum and maximum target for new hire pay for the full-time position determined by role, level, and geographical location. Individual pay is based on additional factors including but not limited to job-related skills, experience, and relevant education and/or training. Moreover, an employee’s total compensation package varies by role and may include salary, cash bonus or commissions, and equity awards not quantified below.

Compensation range: $170,000 to $190,000 annually . This compensation range represents the Company’s good faith belief as to what it will pay as a base salary for this position at the time of this posting.
