Commercial Counsel - Blockchain Infrastructure
Location: Must be in the European Union (remote-first, office optional). France/ Paris or as close as possible, is always preferred.
Remote | Full-time
Compensation: $95K - $140K
Our client is a premier provider of blockchain wallet infrastructure, comprised of industry-leading experts in cryptography, security, and decentralized finance. The organization is currently building the foundational architecture for the next era of global financial systems. To support this mission, our client is seeking a dedicated Commercial Counsel to oversee and drive all contract-related legal matters internationally.
Reporting directly to the CEO, this individual will play a hands-on role in facilitating growth by working closely with Sales, Product, and Operations. The Commercial Counsel will be responsible for drafting, reviewing, and negotiating a wide range of legal instruments—from SaaS agreements to complex partnership deals—ensuring the organization remains compliant with fintech and blockchain regulations while balancing legal risk with strategic business objectives.
Key Responsibilities
- Contract Management: Draft, review, and negotiate various commercial contracts, including SaaS agreements, Non-Disclosure Agreements (NDAs), Master Service Agreements (MSAs), Data Processing Agreements (DPAs), and vendor contracts.
- Business Enablement: Partner with sales and product teams to streamline deal flow and support rapid international business growth.
- Compliance & Due Diligence: Oversee the legal aspects of vendor onboarding, including performing Know Your Business (KYB) checks and other essential due diligence.
- Process Optimization: Develop and maintain internal playbooks, standardized templates, and scalable contract processes to increase organizational efficiency.
- Strategic Advisory: Advise internal stakeholders on contract risks, legal obligations, and evolving regulatory compliance requirements.
- Regulatory Alignment: Ensure all commercial activities align with global data protection standards and financial/crypto regulatory frameworks.
- External Counsel Management: Collaborate with and manage workflows for external legal counsel when specialized expertise is required.
Interview Process
1) Introductory Interview: A 30-minute introductory call with the Co-CEO.
2) Assessment Stage: Personality and cognitive evaluations (45 minutes).
3) Focus Panel Interview: A comprehensive 120-minute session with a full panel focusing on:
- Commercial Law Expertise
- Work Ethics and Professionalism
- Cultural Alignment
4) Final Review: A 30-minute final interview with the senior management team.
Requirements
- Professional Experience: 5+ years of experience in commercial or contracts law, with a strong preference for candidates who have served in an in-house capacity.
- Legal Credentials: Admitted to practice law in France, the EU, or the US. Multi-jurisdictional expertise is considered a significant advantage.
- Technical Drafting: A proven track record of drafting and negotiating complex B2B commercial agreements.
- Industry Knowledge: Familiarity with SaaS, fintech, or blockchain-specific contracts is preferred.
- Soft Skills: Excellent communication and stakeholder management skills, with the ability to translate complex legal concepts for non-legal teams.
- Mindset: A pragmatic and solution-oriented approach that balances speed of execution with risk mitigation and business priorities.
- Languages: Full professional fluency in English is required; proficiency in French is considered a plus.
