We are looking for a Head of Legal to join our team to design and lead the company's legal strategy, ensuring regulatory compliance in Spain, Belgium, and France, and who is capable of supporting all key corporate processes, negotiating and supervising strategic contracts.
Responsibilities:
- Provide legal advice to the company on all its operations: renewable energy, charging infrastructure, electric mobility, etc.
- Ongoing commercial advice including: Lease agreements, EPC agreements, O&M agreements, agreements with partners, Municipalities, Suppliers etc.
- Review and coordination until signing of confidentiality agreements (NDAs) for the entire group.
- Draft, review, and negotiate contracts (PPA, EPC, O&M, joint ventures, M&A, contracts with public administrations, etc.) alongside with external advisors.
- Coordinate regulatory processes and licenses related to energy and mobility projects.
- Supervise regulatory compliance in areas such as data protection, competition law, ESG, and legal risk prevention.
- Liaise with public bodies, administrations, and external advisors.
- Oversee Due diligence process as part of M&A processes
- Advise in financing and M&A processes, alongside external advisors.
- Support the business and project development areas with a legal-preventive approach, acting as a strategic business partner.
- Manage potential litigation and claims.
- Choose, Coordinate and supervise French and Belgian legal services
- Corporate affairs, shareholders relations & Company secretarial: Own end-to-end governance, capital actions and corporate housekeeping across the group, ensuring compliant shareholder engagement, accurate cap table management and timely notarial/registry filings.
Participate in the definition and implementation of internal legal and good governance policies.
Requirements:
- +5 years of experience as an in-house or law firm lawyer (preferably Corporate M&A), in the energy, infrastructure, real estate or mobility sectors.
- Bachelor's degree in law.
- Master's degree in energy law, commercial law, or international law is a plus.
- Compulsory Spanish native level; Excellent English, both in writing and verbal; French would be highly valued.
- Experience in international or multi-jurisdictional environments.
- In-depth knowledge of the energy regulatory framework and the electricity market.
- Experience in drafting and negotiating complex contracts.
- Familiarity with startup or scale-up environments (desirable).
