Position Overview:
The Director of Mergers & Acquisitions (M&A) serves as the trusted executive responsible for leading Motiva’s inorganic growth strategy across the downstream value chain. This role provides enterprise-wide leadership in the sourcing, evaluation, structuring, negotiation, and execution of acquisitions, divestitures, joint ventures, and strategic partnerships. The Director partners closely with the executive leadership team to ensure that transactions align with corporate strategy, deliver sustainable shareholder value, and comply with Motiva and Aramco governance standards. In addition to overseeing transaction origination, execution, and deal structuring, this role sets the vision for the M&A function, develops talent, and drives a culture of disciplined, high-performance deal-making that positions Motiva for long-term success.
Responsibilities:
- Define and provide strategic leadership and oversight of all M&A activities, spanning origination, diligence, structuring, negotiation, execution, and post-close integration for downstream transactions.
- Set the vision and deal agenda for the M&A function, ensuring alignment with Motiva’s corporate strategy, value delivery expectations, and Aramco governance standards.
- Own the development of investment cases and transaction rationales, leading presentations to senior executives, boards, and Aramco committees to secure approvals and resources.
- Oversee negotiation strategy and contract structuring, influencing key terms, trade-offs, and risk allocation in collaboration with Legal, Finance, and external counsel.
- Safeguard enterprise value by ensuring material risks are identified, mitigated, and resolved prior to progression at each gate; prevent advancement of transactions lacking critical inputs or alignment.
- Act as senior liaison with Aramco on stage-gated approvals, governance pathways, and compliance requirements, ensuring transparency, accountability, and alignment across organizations.
- Manage relationships with external advisors (investment banks, law firms, consultants) to maximize value while controlling costs, scope, and resourcing.
- Shape integration planning and post-close value realization strategies, ensuring synergies and transformation goals are embedded into transaction structures and executed by business owners.
- Direct and develop the M&A team, setting vision, managing performance, and building capabilities to deliver long-term growth and transaction excellence.
- Represent Motiva externally in high-stakes negotiations, industry forums, and strategic partnership discussions, safeguarding the company’s commercial, financial, and reputational interests.
Experience and Qualifications:
Required Education and Experience:
- Bachelor’s degree in Finance, Economics, Business, or related field
- 15+ years of progressive experience in M&A, corporate development, investment banking, or private equity, with significant leadership responsibility.
- Demonstrated track record of originating, structuring, and closing complex transactions in downstream oil & gas, energy, or related industries.
- Extensive experience overseeing due diligence, contract negotiations, and integration planning.
- Experience managing or leading structured value assurance or transaction review processes.
- Proven ability to lead and develop high-performing teams, set vision, and drive results in a high-stakes environment.
- Strong executive presence with the ability to influence C-suite leaders, Boards, and external stakeholders.
- Deep knowledge of downstream markets, competitive dynamics, transaction assurance, risk mitigation, and stage-gated governance processes and structures, including Aramco processes.
- Proven ability to balance strategic, financial, and governance priorities in high-value transactions
Preferred Education and Experience:
- MBA or advanced degree strongly preferred.
- Experience leading transactions involving international partners, joint ventures, and state-owned enterprises.
- Established network of industry, financial, and advisory contacts within the energy sector.
- Demonstrated ability to deliver inorganic growth strategies that create measurable shareholder value.
