New York Life Insurance Company is seeking a Private Capital Attorney with a minimum of 5 years of experience and a particular focus on private funds including substantial experience in equity co-investments, primary and secondary limited partnership investments, venture equity investments, and primary investments in venture funds.  Experience with registered alternatives funds and private credit welcome. This role is located at the offices of Apogem Capital at 299 Park Avenue, NY, NY.  

Apogem is an alternatives asset management firm with $41 billion in AUM focused on investments primarily in private credit and private equity with offices in Chicago, IL, New York, NY, and Richmond, VA.  Apogem is a New York Life Investments company and subsidiary of New York Life Insurance Company.

Core Responsibilities:


• Oversee limited partnership fund investments in US and EU private leveraged buy-out, secondary, distressed, venture, infrastructure, and credit funds including document review and negotiation of side letters with sponsors.
• Review and advise the investment team on amendment and consent requests for investments.
• Lead non-control equity co-investments in sponsor backed portfolio companies.
• Review, draft and negotiate private fund vendor agreements and placement agent agreements.
• Create and update manager obligations playbooks and fact sheets for Apogem proprietary funds.
• Assist with formation of Apogem proprietary funds, including drafting and coordination of PPMs, limited partnership agreements, onboarding investors, negotiation of side letter agreements, and other related documentation.
• Identify and resolve Advisers Act matters applicable to management of advisory clients.
• Support entity management and governance of domestic and offshore vehicles including licensing/registration requirements and overseas marketing (e.g., AIFMD compliance).

What You’ll Do:

• Recognized as a subject matter expert on private investment funds matters.
• Excellent interpersonal, writing, presentation skills and the ability to communicate complex legal issues effectively and concisely.
• Anticipates internal and external business challenges and/or regulatory issues.
• Displays conceptual and innovative thinking and a willingness to work through complex issues and problems as part of a collaborative team.
• Ability to collaborate with cross-functional teams including finance, operations, and compliance.
• Demonstrated affinity for process building and capacity to recommend process, product or service improvements in pursuit of continuous improvement.
• Highly organized, able to handle multiple projects at one time with attention to detail and focus on excellence.
• Possesses initiative, dependability and motivation.

What You’ll Bring:


• 5 to 8 years’ experience focused on private funds; in-house investment firm experience and/or registered fund experience a plus.
• In-depth understanding of the Investment Advisers Act; experience with the Investment Company Act a plus.
• JD Degree required.
• Admitted to practice in New York required.

 

Pay Transparency

Salary Range: $175,000 - $245,000 

Overtime eligible: Exempt 

Discretionary bonus eligible: Yes 

Sales bonus eligible: No 

Actual base salary will be determined based on several factors but not limited to individual’s experience, skills, qualifications, and job location. Additionally, employees are eligible for an annual discretionary bonus. In addition to base salary, employees may also be eligible to participate in an incentive program.
