Reporting to the Associate General Counsel, this role provides legal support on Mergers & Acquisitions (M&A) and related commercial and corporate matters. The position partners with business leaders and senior attorneys to advance transactions and initiatives while ensuring compliance and managing legal risk.

Responsibilities

Essential Duties and Responsibilities:

  • Support M&A, real estate acquisitions and joint venture transactions by drafting and reviewing agreements, coordinating due diligence, and preparing internal approvals under the supervision of senior counsel.

  • Assist with corporate governance activities, including drafting resolutions, consents, and board minutes.

  • Negotiate and review contracts in areas such as leasing, construction, and strategic partnerships, escalating complex issues as appropriate.

  • Provide timely and practical legal advice to internal stakeholders on routine corporate and commercial matters.

  • Research and analyze legal issues, draft documents, and develop clear recommendations for review by senior counsel.

  • Collaborate with colleagues across Legal and business functions to ensure legal strategies are aligned with organizational priorities and ensure proper coverage of real estate, commercial, intellectual property, corporate governance  and other routine legal contracts are covered.

  • Perform other duties as assigned by the Associate General Counsel.

Qualifications

Minimum Education and/or Experience:

  • Juris Doctor (JD) and active State Bar membership.

  • Minimum 3–6 years of corporate and/or M&A legal experience, ideally from a law firm or in-house environment.

 

Additional knowledge and skills:

  • Strong drafting, negotiation, and analytical skills with the ability to manage multiple assignments.
  • Effective communicator (both written and verbal) with strong interpersonal skills.
  • Ability to spot legal risks and propose practical solutions that align with business objectives.
  • Solid organizational and problem-solving skills; comfortable working in a fast-paced environment.
