The General Counsel at UG2 is a strategic and operational leader responsible for providing expert legal guidance, managing legal risk, and ensuring compliance across all operations. This role requires proactive leadership in contract negotiation, real estate transactions, claims management, regulatory compliance, and advising senior executives, thereby safeguarding UG2’s reputation and facilitating strategic business decisions in the facility services industry.

Job Responsibilities:

  • Develop and execute comprehensive legal strategies that align with UG2’s business goals, particularly within the facility services and real estate management sector.
  • Review, draft, and negotiate service contracts, leases, vendor agreements, and other critical documents, ensuring robust protection of UG2’s interests.
  • Oversee litigation and claims, collaborating closely with external attorneys to manage disputes effectively, efficiently, and economically.
  • Proactively advise senior management and operational teams on legal risks, compliance obligations, and strategic business initiatives.
  • Ensure compliance with local, state, and federal laws, especially those pertinent to facility management, real estate, environmental regulations, and labor laws.
  • Manage relationships and engagements with external legal counsel, monitoring performance and controlling legal costs.
  • Partner with Human Resources on employment law matters, labor relations, union negotiations, and employee disputes to ensure effective risk management and compliance.
  • Establish internal procedures and compliance training programs tailored specifically to the facility services industry.
  • Provide strategic legal input to senior leadership during business expansion initiatives, client acquisitions, and startup transitions.
  • Maintain current knowledge of regulatory changes affecting UG2’s operations and proactively adjust company policies accordingly.

Supervisory Responsibilities: 

  • Manage external legal resources, ensuring optimal performance, cost-effectiveness, and alignment with UG2’s strategic objectives.

Requirements (Knowledge, Abilities, Skills, and Education and/or Experience:

  • Juris Doctor (JD) from an accredited law school; active membership in good standing with a state bar.
  • Minimum of 10 years practicing law with a strong focus on contracts, litigation, real estate, employment law, and regulatory compliance.
  • Proven experience in providing strategic legal counsel within the facility management or closely related industries.
  • Demonstrated expertise in risk assessment, claims management, and dispute resolution.
  • Excellent negotiation, analytical, and drafting skills with meticulous attention to detail.
  • Strong leadership skills with the ability to advise and influence senior management effectively.
  • Exceptional communication skills, both written and verbal, with proficiency in conveying complex legal information clearly.
  • Experience managing and optimizing relationships with external law firms and legal consultants.
  • Comprehensive understanding of employment and labor relations, including experience with unionized workforces.
  • Strategically oriented with a practical and proactive approach to solving business and legal challenges.
  • Proficiency in legal technology platforms and tools (e.g., contract management systems, compliance tracking software), with demonstrated experience implementing or optimizing these solutions to enhance organizational efficiency and compliance.
  • Proven track record in managing relationships with external legal counsel and consultants, negotiating engagements, and ensuring service level agreements (SLAs) are consistently met to optimize legal expenditures.
  • Strong analytical skills with experience leveraging legal analytics and data-driven insights to evaluate risks, manage litigation, and drive improvements in contract administration and regulatory compliance processes.
  • Exceptional communication and interpersonal skills, with the ability to engage, influence, and build credibility across all organizational levels, as well as externally with clients, regulatory bodies, and opposing counsel.
  • Excellent public speaking and presentation abilities, capable of delivering compliance training, leading legal workshops, and representing UG2 effectively in legal negotiations and industry conferences.
  • Flexible and agile, capable of adapting legal strategies and compliance approaches to evolving business needs, particularly in dynamic scenarios involving new client acquisitions, startups, or regulatory changes.
  • In-depth understanding of employment laws, labor relations, diversity and inclusion practices, and regulatory compliance requirements, ensuring all company activities adhere strictly to applicable legal standards.
  • Experience in budget management and resource allocation for legal initiatives, focusing on achieving compliance, litigation, and advisory goals within designated resources.

Working Conditions and/or Physical Requirements

  • Primarily an office-based position with standard working hours.
  • Occasional travel required for meetings, litigation matters, and client-site visits.
  • Flexible availability for occasional after-hours legal emergencies or critical operational needs.
