About the Role
We’re seeking a highly-motivated Closings Associate to join our team in Austin, TX. This is a unique opportunity to play a vital role in the acquisition process of small to medium-sized businesses. As a Closings Associate, you'll be instrumental in managing the closing process and also taking on broad operational tasks that support our investment activities. You'll work with all parties involved to ensure a smooth and efficient transaction and support the overall health of our operations. You'll need to be comfortable working with some ambiguity and in an environment where processes are constantly evolving.
Responsibilities
Manage the closing process for various small to medium-sized business acquisitions, ensuring all necessary steps are completed accurately and on time.
Coordinate and communicate with all parties involved in the closing, including buyers, sellers, lenders, and legal teams.
Create and manage Docusign flows to ensure all closing documents are signed correctly and efficiently.
Organize and track due diligence materials in a data room, working with contractors to ensure all documentation is in order.
Manage closing checklists to ensure all conditions are met before closing.
Streamline and execute a wide range of operational tasks to support the deal team and firm-wide initiatives.
Utilize various technology platforms such as Slack, Airtable, and Docusign to facilitate a smooth and organized closing process.
Requirements
Experience in Mergers & Acquisitions (M&A), specifically with small to medium-sized businesses or corporate transactions.
Corporate paralegal experience with a strong understanding of closing mechanics and the roles of various parties in a transaction.
Proven ability to manage diverse operational tasks and contribute to process improvement.
Proficiency with Docusign and the ability to create and manage complex signing flows.
Comfortable with a tech-forward environment, including a strong working knowledge of tools like Slack and Airtable.
High tolerance for ambiguity and the ability to thrive in an environment where processes are not always defined.
Preferred Qualifications
Familiarity with capitalization tables and equity documentation.
Experience organizing and managing due diligence materials.
Previous experience managing closing checklists.
