Job Description:
Embrace Software Inc. is seeking a driven and entrepreneurial individual to join our growing M&A team as M&A Associate. Reporting to Senior Team Leaders and, indirectly to Embrace’s CEO, this role is pivotal, offering high career growth opportunities and visibility into the inner workings of a breakout technology investment firm.
As an M&A Associate, you will help drive forward our M&A objectives to acquire software companies across multiple vertical markets. You will be involved in all aspects of the M&A lifecycle, from business development to deal closure, conducting pre-LOI diligence, performing financial modeling and industry research, developing investment theses, and negotiating acquisition terms. The role requires agility in building relationships, using salesmanship and a charming personality, while also being able to quickly pivot into analysis and financial diligence.
As part of Embrace's core team, you will be responsible for driving shareholder value in a high-performance, high-reward entrepreneurial environment. You will be supported by your teammates and operate as one cohesive, high-performance unit. You will report indirectly to the CEO of Embrace and will also have the opportunity to make a significant impact on the company's success.

Specifics of the Role:
As an M&A Associate, you will
- Build and refine the deal origination strategies.
- Identify M&A targets that align with Embrace’s growth objectives, aiming to contribute to the team’s goals for generating revenue opportunities per quarter.
- Reach out to potential targets through various channels, conducting exploratory calls, and fostering relationships with owners and sell-side advisors.
- Evaluate investment opportunities from pre-LOI stage to advancing it to LOI, and eventually closing a deal.
- Assist with pre-LOI due diligence for potential targets to assess their financial health, operational capabilities, and strategic fit.
- Negotiate deal terms with the target company's management team, with the support of Senior team members and the CEO of Embrace.
- Generate a pipeline of ~50 M&A opportunities per quarter, with a combined buyable revenue of $200M. The goal is to acquire $10M+ in revenue per year.
- Work with teams across the US, Canada, Europe, and India to drive M&A process initiatives.
- Support operational teams in implementing post-acquisition business transformation projects.
- Bachelor’s degree in finance, Accounting, Business, or related field; CA, CPA, MBA, or CFA is a plus.
- Minimum of 2 years of experience in financial analysis, investments, or M&A within a capital market setting.
- Strong proficiency in financial analysis, forecasting & valuation techniques.
- Familiarity with the niche software or VMS market and a basic understanding of the key drivers of software businesses.
- Prior acquisition experience in particular verticals such as Industrial, Education and Finance would be considered an asset.
- Entrepreneurial mindset with a creative and proactive approach to problem-solving.
- Excellent interpersonal and business development skills with experience building and maintaining relationships with prospects.
- Outstanding communication and presentation skills, demonstrating the ability to convey complex financial information to non-financial stakeholders.
- Proven ability to collaborate effectively in cross-functional teams, excelling in multi-tasking within a fast-paced and dynamic environment.
- Willingness to travel up to 25% of the time.
