Job Summary:
LaGuardia Gateway Partners (“LGP”) is seeking a Counsel to support the Office of General Counsel on a variety of commercial, real estate and operations matters, as well as contracts, procurement, insurance claims, and dispute matters. The candidate should be able to manage time effectively, work in a fast-paced, dynamic environment, be a self-starter, and take pride in their work product.
Responsibilities:Major Duties and Responsibilities:
- Advise internal clients on a broad range of commercial, real estate and operational matters.
- Lead and participate in a variety of business meetings, conference calls and other client meetings and negotiations to help produce the best business outcome and drive transactions to completion.
- Frequent contact with multiple LGP departments and the LGP executive team.
- Lead and participate in projects and initiatives to improve company processes, policies and performance.
- Draft, negotiate, and revise lease agreements, amendments, license agreements, letters of intent, guaranties, commission agreements, non-disclosure agreements, hold harmless agreements and cancellation agreements. Review leases to assess landlord and tenant rights, remedies, and obligations.
- Draft, review and edit documents relating to commercial contracts and corporate governance and engage in routine negotiations with contract counterparties. Coordinate due diligence projects related to corporate and compliance activities and litigation matters.
- Draft, review and revise procurement solicitation documents for competitive sealed bids, RFP’s, sole source, negotiated acquisitions and other procurements.
- Draft and negotiate various agreements relating to events, promotions, and sweepstakes.
- Oversee compliance and environmental sustainability.
- Manage insurance company relationships in the defense of slip and fall litigation.
- Oversee risk assessments/response plans; conduct internal monitoring and audit.
- Ensures LGP policies are administered fairly and consistently, disciplinary procedures and documentation are completed according to Standard and Local Operating Procedures (SOPs) and supports performance management process.
- Supervises staffing levels to ensure that guest service, operational needs and financial objectives are met.
- Perform all other duties as required.
Education and Experience:
- JD from a top accredited law school.
- Licensed in New York.
- Construction Law.
- 5 - 7 years of real estate and commercial experience at AM Law 200 firm and/or Fortune 1000 company.
- Global experience; experience working with multi-national companies.
- Experienced business lawyer with ability to form strong relationships with business leaders to achieve objectives of the Real Estate functions.
- Experience in commercial transactions.
- Interpretation and Drafting experience.
- Strong technology skills (e.g. Office 365 (includes SharePoint) and Workshare).
- The candidate must have a desire to learn, maintain a positive attitude, be a team player with strong interpersonal skills and can build consensus with business partners.
