Description

Who we are!

Elementl Power Inc. is an advanced nuclear project developer and independent power producer, building scalable pathways for clean resilient energy. We break the stalemate in advanced nuclear deployment by delivering turnkey development, financing, and ownership solutions -- empowering customers to access nuclear power without the burden of operating assets.

The Opportunity

We’re excited to add an Assistant General Counsel, Corporate to our growing legal team! Reporting to Elementl's General Counsel, you will lead and manage Elementl’s corporate legal function, providing comprehensive support across corporate governance, entity management, capital formation, and strategic transactions as we scale our advanced nuclear portfolio.

We’re looking for a trusted advisor who brings sound judgment, strong commercial instincts, and a practical approach to risk. You’re comfortable navigating complex corporate structures and financing matters, and you know how to translate legal complexity into clear, actionable guidance for business leaders.

You’ll play a central role in managing corporate entities and project-level structures, ensuring effective governance and compliance across the organization. You’ll also support strategic initiatives, including joint ventures, capital raises, and other financing transactions, helping to structure and execute deals that advance Elementl’s mission.

Collaboration is essential in this role. You’ll partner closely with executive leadership, Finance, and Development, as well as external counsel and investors, to ensure smooth execution of financing and structuring initiatives, strong governance practices, and alignment with Elementl’s long-term growth strategy in the clean energy sector.

  • Support the board of directors and senior leadership on governance matters, including board and shareholder meetings, minutes, resolutions and compliance with relevant corporate laws.
  • Draft, review and maintain corporate governance policies and procedures.

  • Draft, review and manage equity documentation, including stock purchase agreements, convertible notes, preferred equity terms and related financing agreements.
  • Assist with equity grant administration and management of the company’s equity pool.
  • Provide guidance on securities compliance and disclosure obligations.

Corporate Legal Support:

  • Advise on day-to-day corporate operations, policies and compliance matters.
  • Review and draft general corporate contracts, including NDAs, services agreements and partnership agreements.
  • Manage outside counsel relationships.

Risk Management and Compliance:

  • Identify and mitigate legal risks related to corporate transactions, governance issues and operational activities.
  • Assist in developing and implementing corporate compliance programs.

With 4 to 10+ years of experience in corporate law - whether in M&A, finance, capital markets, or general corporate practice - you bring a strong foundation in corporate governance, entity management, and transaction execution.
