This is a rare opportunity to join a near-ground-zero team bringing a proven and highly successful software acquisition model to the APAC region.
This role is well suited to a high-performing Big 4 Transaction Services / Deal Advisory professional looking to make the transition into a principal investing environment. The M&A team operates with the pace and rigor of a private equity or corporate development function, offering hands-on exposure to live software acquisitions from initial review through to close.
We are looking for an Associate, M&A who will play a critical role supporting deal origination, diligence, and transaction execution. The Associate will work closely with senior team members and gain deep exposure to software businesses, quality of earnings, deal structuring, and investment decision-making. Near-term goals include developing a strong understanding of Banyan’s acquisition strategy, applying transaction advisory skillsets in a buy-side context, and becoming a reliable execution partner across multiple live deals.
Responsibilities:
- Support the end-to-end execution of mergers and acquisitions, from initial opportunity assessment through to transaction close.
- Review and analyse confidential financial and non-financial information on potential acquisitions and assist in preparing investment summaries for Banyan’s management team and board, aligned to Banyan’s investment criteria and KPIs.
- Assist in the preparation and review of quality of earnings (QOE) analyses, including identification of normalized earnings, key adjustments, risks, and value drivers.
- Participate in financial and operational due diligence, performing detailed analysis and synthesising findings into clear, decision-ready outputs.
- Build and maintain financial models to assess the financial impact of potential acquisitions, including scenario analysis and sensitivities.
- Support deal structuring workstreams, including purchase price mechanics, working capital considerations, and transaction economics.
- Coordinate with internal stakeholders and external advisors (accounting, legal, tax) to support efficient transaction execution.
- Contribute to the continuous improvement of M&A processes, templates, and tools to increase efficiency and consistency across transactions.
Qualifications for success:
The ideal candidate for the role will possess the following characteristics:
- 5+ years of experience in Transaction Services, Deal Advisory, Corporate Finance, or a related M&A-focused role, ideally within a Big 4 or top-tier professional services firm.
- Strong foundation in financial statement analysis, quality of earnings, and transaction mechanics.
- Demonstrated experience supporting buy-side diligence engagements and translating complex financial information into clear insights.
- Strong financial modelling skills and a high level of numerical and commercial acumen.
- A clear interest in transitioning from advisory work into a long-term, buy-and-hold private equity environment, with a specific interest in software businesses.
- A bachelor’s degree in finance, accounting, or a related discipline; CA/CPA qualification.
- Ability to produce high-quality written materials and presentations for senior management and board-level audiences.
- Strong attention to detail, ownership mindset, and willingness to take accountability for workstreams.
- A proactive team player who thrives in a fast-paced, execution-oriented environment and is motivated by learning and long-term growth.
