The Vice President, Associate General Counsel will serve as a senior leader within the Legal Department, providing strategic legal counsel with a strong focus on company contracts. This role partners closely with executive leadership, prospective and current physicians, and operational leaders to ensure compliance, support growth initiatives, and mitigate risk in a highly regulated healthcare environment. The successful candidate will bring deep legal expertise in healthcare transactions, regulatory compliance, and contract negotiation.
All Healogics employees must perform their job responsibilities according to all Healogics policies, Hospital policies, as well as to accrediting organizations, federal and state regulation, and to the Centers for Medicare and Medicaid Services (CMS) guidelines, as applicable.
Essential Functions/Responsibilities:
- Lead drafting, negotiation, and review of contracts, including but not limited to services agreements with hospitals, licensing agreements, physician services agreements, non-disclosure agreements, and physician contracts.
- Oversee contract lifecycle management processes, ensuring timely execution, renewal, and compliance with contractual obligations.
- Partner with Business Development, Operations, Finance, Compliance, and Physician Services to streamline contracting processes, ensure consistency, problem solve and mitigate risks.
- Provide guidance on federal and state healthcare laws and regulations, including Stark Law, Anti-Kickback Statute, HIPAA, and corporate practice of medicine requirements.
- Keep abreast of changes in laws and regulations impacting contracts and ensure internal policies remain current.
- Mentor and manage junior legal staff or contract specialists involved in contract drafting, review, and administration.
- Partner with external counsel on complex or high-risk contracts and legal issues as needed.
- Develop training and educational materials for business teams on contract best practices and legal compliance.
- Report to senior legal leadership and provide regular updates on contract-related matters and risks.
- Support corporate governance and compliance activities, ensuring alignment with applicable healthcare regulations and organizational policies.
- Develop policies, templates, and playbooks to drive efficiency in provider and hospital customer contracting.
- Performs other duties as required.
Required Education, Experience and Credentials:
- Juris Doctor (JD) degree from an accredited law school; active license in good standing to practice law.
- Member in good standing of the bar of at least one state in the United States, with the ability to be admitted as authorized in-house counsel in Florida if not presently admitted as a member of the Florida Bar.
- 10+ years of legal experience, including substantial in-house counsel experience in healthcare.
- Strong background in physician contracting, medical services agreements, and healthcare transactions.
Required Knowledge, Skills and Abilities:
- In-depth knowledge of healthcare regulatory compliance (Stark, AKS, HIPAA, state-specific rules).
- Proven leadership and management experience with ability to mentor and develop a high-performing legal team.
- Proven negotiation, communication, and relationship-building skills.
- Business acumen with ability to align legal strategies to organizational objectives.
