Purpose of the Role


The Board of Directors is elected by the members to provide overall governance, strategic direction, and fiduciary oversight of Seattle Credit Union. Directors act collectively to guide the Credit Union in a manner that upholds its mission, protects members’ assets, and ensures long-term financial strength and community impact.


Authority

The authority of the Board is derived from the Washington State Credit Union Act (RCW 31.12) and the Credit Union’s Bylaws. The Board acts only as a collective body; individual directors have no independent authority outside of Board actions.


Key Responsibilities of a Director

Board Members are expected to:

1. Fiduciary Duties

  • Duty of Care: Be informed, prepare for and attend Board/committee meetings, and make decisions in good faith with sound judgment.
  • Duty of Loyalty: Place the interests of the Credit Union and its membership above personal or outside interests; disclose and avoid conflicts of interest.
  • Duty of Obedience: Ensure compliance with laws, regulations, bylaws, and Board policies; uphold the mission and values of the Credit Union.

2. Governance & Oversight

  • Provide strategic leadership in partnership with the CEO and management team.
  • Approve and monitor the Credit Union’s mission, vision, values, and strategic plan.
  • Ensure the safety, soundness, and financial integrity of the Credit Union.
  • Approve budgets, major policies, and risk frameworks.
  • Monitor organizational performance against established goals and metrics.

3. CEO Support & Evaluation

  • Select, support, and evaluate the CEO.
  • Clearly define and uphold the division of responsibilities between governance and management.

4. Board Participation & Development

  • Attend regular Board meetings annually, plus planning sessions and training as required.
  • Actively serve on committees as assigned.
  • Engage in ongoing learning to maintain financial literacy and effective governance skills.

5. Representation & Stewardship

  • Serve as an ambassador for the Credit Union, representing members’ interests and promoting the Credit Union in the community.
  • Maintain confidentiality of member and Credit Union information.
  • Uphold the highest ethical standards and demonstrate a commitment to cooperative principles.

Time Commitment

  • Regular Board and committee meetings.
    • Board Meetings: Monthly
    • Committee Meeting: 1-3 Monthly
  • Annual strategic planning and training sessions.
  • Periodic community and member engagement activities.
