The Role

As Assistant Company Secretary, you will play a pivotal part in supporting our Trustee Company, Boards, and Committees by providing high-quality company secretarial and administrative services. You will assist with the preparation and organisation of board and committee meetings, including setting agendas, following up on actions, and producing detailed formal minutes for key audit, risk, and governance committees. Your responsibilities will include maintaining statutory registers and records in compliance with legal and regulatory requirements, supporting the timely filing of statutory forms and returns to relevant regulatory bodies such as Companies House, and assisting with trustee election and appointment processes. You will ensure compliance with corporate governance frameworks, liaise with senior stakeholders, directors, auditors, and external parties, and contribute to the continuous improvement of governance practices across the organisation.

This role is not eligible for visa sponsorship. Applicants must have the legal right to work in the UK.

The Person

We’re seeking someone with 2-3 years’ experience in a similar company secretarial role and a track record of writing detailed formal minutes, particularly for risk committees. You’ll have hands-on experience with Diligent Entities or similar company secretarial software and be comfortable engaging with senior leaders and stakeholders. Whether you’re looking for the next step up in your career or seeking a fresh challenge, your background will demonstrate strong organisational skills, attention to detail, effective time management, and the ability to handle sensitive information with discretion.

Part-qualified or fully qualified with ICSA/The Chartered Governance Institute (or equivalent) is desirable, and support can be provided for further study. Experience supporting pension schemes or risk committees is also desirable.

You’ll be a collaborative team player, able to build trusted relationships with a wide range of stakeholders and thrive in a fast-paced, reactive environment. Calm under pressure and proactive in your approach, you’ll be committed to continuous improvement and sharing best practice. Integrity, professionalism, and a positive, can-do attitude are essential, as is the ability to manage competing priorities and deliver high-quality work. Your willingness to mentor others and contribute to the wider governance team will help strengthen our organisation’s culture and effectiveness.

Our values of integrity, community and alignment are the guiding principles that influence our behaviour. They help us make decisions and shape our relationships with others. They’re what we stand for. You will actively demonstrate our values, helping to create a safe environment, to place the needs of the community above oneself and, through a culture of ‘fair challenge’, align to the best interests of our members.
