We are looking for a Contract Analyst to make a meaningful impact and be part of our Corporate Legal team here at Disney!

This key role sits within the Media Distribution Legal team which supports Disney’s media distribution activity. The Contract Analyst will support senior members of the Media Distribution Legal team in all aspects of contract drafting, negotiation and administration.

As a Contract Analyst, the successful post holder will:

  • Provide general legal support to the territory lead lawyers for specific territories.

  • Usually be responsible for issuing avail notice, title swaps and other routine contract amendments for content licensing arrangements, including supervision of interns in this respect.

  • Draft material and often non-standard amendments and long form agreements for content and channel licensing arrangements with traditional broadcasters and digital entertainment companies, and when appropriate undertake negotiation with clients under supervision from the more senior team members lawyers but with an appropriate degree of autonomy and independence.

  • Take the lead on contract administration functions such as:

    • Preparing and administering physical execution of contracts were required, including liaising with clients.

    • Updating and maintaining contract databases.

    • DocuSign best practice; and

    • Ad hoc administration issues, as may arise; and

  • Undertake legal research as necessary to support the more senior members of the team and participate in cross-functional projects with other members of the EMEA legal team.

Please note: This is an office-based role. 4 days working in the Hammersmith, London office with 1 day working from home (Monday or Friday).

Areas of Responsibilities

Paralegal support

  • Provide general legal support to the team lawyers and Contract Managers for specific territories, including ad hoc legal research when required.

Contract Administration

  • Arrange for the execution of physical agreements and amendments etc. where necessary, including chasing for signature. 

  • Act as “best practice” lead for DocuSign electronic signature process.

  • Ensure efficient and accurate electronic storage and, where necessary, circulation of copy contracts, including scanning and uploading original copies into relevant database where necessary.

  • Maintain integrity of databases including providing programme database support, ensuring that best practice procedures are followed by other team members.

  • Manage data protection notices for new clients.

Contract Drafting and Negotiation

  • Typically lead on issuing avail notice, title swaps and other straightforward contract amendments for content licensing arrangements for dedicated territories, including supervision of interns in this respect.

  • Prepare legal process documentation such as suspension/termination letters, NDAs, materials access letters etc. as and when requested, for review by senior team members.

  • Draft material and often non-standard amendments and long form agreements for content and channel licensing arrangements with traditional broadcasters and digital entertainment companies, and where appropriate undertake negotiation with clients under supervision from the more senior team members but with an appropriate degree of autonomy and independence.

  • Assist with contract and related enquiries from clients and internal departments.

  • Complete all relevant documents within agreed timescales.

Other General Activities

  • Work effectively with departmental colleagues on a cross-functional and cross-territory basis.

  • Supervise and assist in monitoring the work of Legal Interns.

  • Adhere to defined Disney Entertainment Distribution business processes and best practice.

  • Develop knowledge of the product slate, distribution media and the territory environment.

Required Qualifications & Skills

  • Degree-level education in a related field or equivalent work experience.

  • Word, Excel, PowerPoint and database skills are essential.

  • Experience of working in a legal environment (law firm or in-house department) preferable.

  • Experience of contract administration preferable.

  • Experience of drafting beneficial.

  • Training and experience in contract and IP law are beneficial.

  • Proven experience of building effective relationships and managing stakeholders within a large, multi-national, matrix organisation.

  • Good organisational skills with the ability to prioritise tasks.

  • Understanding of contract administration and negotiation processes.

  • Ability to work under pressure and to deadlines.

  • Interacts well with people who have different backgrounds and work styles.

  • Listens and asks questions to ensure understanding.

  • Conveys relevant information in a candid and timely manner.

  • Cultural sensitivity and ability to work with sales development teams based in Europe, Middle East, Russia and Africa.

  • Flexibility for occasional UK, European or international travel may be required.

  • Contribution to ad-hoc projects as the business requires.

  • Flexible hours may be required to meet business needs.
