To help continue our growth and success, we are looking for a Commercial Legal Counsel to support us with contracting as well as general legal support. The Legal team is focused on supporting the corporate and commercial contracting processes for the business, provide robust review, negotiating terms to mitigate risks and ensure compliance.
You would work closely with R&D, Supply Chain and Procurement teams on a multitude of commercial matters ranging from major sourcing transactional agreements to negotiating CDAs with potential partners and general commercial advisory work. This includes briefing key stakeholders at or in advance of invoX Leadership and invoX Board meetings. The commercial legal projects are typically global in their nature, of a high value and important to the success of invoX as it moves from development to commercialisation of the technology platform.
You will have a strong and well established track record of drafting and negotiating agreements within the life sciences industry as well as a passion for success. Critical to the success of this role is working in close partnership with the international R&D platform and technology colleagues
Key Responsibilities
The role will primarily support the Groups various Clinical operational contracting requirements throughout the EU and the UK, involving but not limited to
- Drafting, reviewing, and negotiating commercial and clinical contracts, third party vendor agreements, service agreements, consulting agreements and various pharmaceutical related agreements for the Group e.g., manufacturing, supply, and distribution agreements;
- Assisting Legal Department colleagues with projects and activities in areas outside of your areas of responsibility as needed to achieve corporate objectives, contribute to an atmosphere and balance workloads.
- Partnering with other functions to ensure compliance with industry codes of practice and applicable regulatory, privacy, pharmacovigilance, and quality requirements.
- Advising on the interpretation of legal documents and applicable laws and regulations in a way that provides practical and timely legal advice on complex issues/concepts while managing the risk to the organization;
- Facilitate clear communication, evaluations, and reporting of ongoing contract negotiations
- Work in collaboration with Corporate Legal on identifying risk and implementing appropriate processes and procedures to manage same
- Design and participate in initiatives relating to contract management and compliance
- Future line management responsibility as the organisation grows.
Skills, Knowledge and Expertise
Essential
- Strong professional experience as an attorney, minimum 1-2 years in a law firm post training (multinational law firm preferred), and 3 years in-house experience negotiating commercial contracts for a global pharmaceutical corporation or biotech company.
- Experience supporting legal and operations teams across multiple jurisdictions, including EMEA, UK and US.
Preferred
- 2 years post training experience in a multinational law firm
- 5 years in- house experience at global pharmaceutical corporation or biotech company
- Additional general legal experience outside of contracting is advantageous.
