The Chief Legal Officer provides strategic legal and regulatory guidance to the CEO, Board of Directors, and senior leadership, ensuring full compliance with federal and state laws, including HIPAA, ERISA, and state pharmacy regulations. This role directs legal strategy for PBM operations, manages risk, oversees corporate governance, leads mergers and acquisitions, negotiates client and vendor contracts, resolves disputes, and safeguards intellectual property. Working closely with business leaders, the CLO drives ethical, compliant, and business-aligned legal solutions that protect the organization and advance its strategic goals in the highly regulated pharmacy benefits industry.


Role and Responsibilities


  • Strategic Leadership: Provide strategic counsel to the CEO, Board of Directors, and senior leadership on legal and regulatory matters.
  • Regulatory Compliance: Ensure the organization meets state and federal regulatory compliance requirements, staying up-to-date with changes in laws and regulations that are relevant to PBMs.
  • State Licensure: Ensure the organization is licensed in all states where required, supervising new license applications, license renewals and compliance with reporting obligations. Manage overall licensing strategy and process.  
  • Policy Development: Develop and implement policies and procedures within the company.
  • Mergers and Acquisitions: Lead due diligence efforts for potential acquisitions with the Chief Business Officer, assessing legal and regulatory risks, reviewing and advising on deal documents, and managing external counsel assisting in M&A activities.
  • Contract Oversight: Develop, review, and negotiate contracts with clients, vendors, and partners, ensuring compliance with Company policies and regulatory requirements.
  •   Litigation and Dispute Resolution: Manage and resolve pre-dispute, litigation, arbitration, and mediation matters, working with external counsel as needed.
  • Intellectual Property: Develop and implement strategies to protect Company intellectual property, including patents, trademarks, and copyrights.
  • Risk Management: Identify, assess, and mitigate legal and regulatory risks across the organization.
  • Governance and Compliance; Ensure Company-wide compliance with corporate governance policies and procedures.
  • Corporate Secretary: Help manage preparation and review of materials for Board of Directors, attend Board meetings and take minutes, and draft corporate resolutions.
  • Team Management: Lead and manage a team of legal professionals, providing guidance, mentorship, and development opportunities.
  • Reporting and Budgeting: Develop and manage the legal department's budget, ensuring effective allocation of resources.
  • Best efforts: Perform the responsibilities assigned to you utilizing your best efforts in a manner consistent with the Company's interests and in accordance with the Companvs policies, procedures, and practice. Exhibit compliant and ethical behavior in the performance of duties, including complying with all applicable federal and state laws and regulations


Requirements


Qualifications and Education Requirements

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction; ability to obtain in-house counsel status as required.

Experience

  • Minimum 10–15 years of progressive legal experience, with at least 5 years in a senior leadership role.
  • Extensive experience in healthcare law, regulatory compliance, PBM or pharmacy operations.
  • Demonstrated expertise with federal and state regulations, including HIPAA, ERISA, ACA, Medicare, Medicaid, and state pharmacy laws.
  • Proven track record in managing mergers and acquisitions, contract negotiation, corporate governance, and litigation.
  • Prior leadership of legal teams and management of outside counsel.
  • Knowledge & Skills
  • In-depth understanding of the PBM business model, pharmacy distribution channels, and healthcare payer-provider relationships.
  • Strong business acumen and ability to align legal strategy with corporate objectives.
  • Exceptional negotiation, analytical, and problem-solving skills.
  • Ability to manage sensitive, confidential information with the highest level of integrity.
  • Excellent written, verbal, and presentation skills, with the ability to convey complex legal concepts to non-legal stakeholders.

Physical Requirements


The physical demands described here are representative of those that must be met by an employee to successfully perform the essential functions of this job. This is a largely sedentary role; however, some standing, walking, bending, and reaching may be required. Regularly operates in an office or home office setting which involves utilizing a computer, mouse, keyboard, and occasionally operates other standard office equipment, such as printer, copier, phone. Travel may be required by either car or airplane, or a combination of multiple modes of transportation.
