The Requirement
The requirement is for a 3 to 6 years’ PQE lawyer, to specialise in share plans and incentives. The role sits within the wider Employment & Reward team but is distinct from an employment law role and covers the areas described below.
Candidates are not expected to have comprehensive knowledge/experience currently of all the areas our practice cover, but a willingness to learn is vital.

The Role
We are looking for a bright and enthusiastic lawyer to join the well-respected share plans and incentives team within the Employment & Reward Group at Pinsent Masons.
Share plans and incentives form part of our cross-practice group reward offering (remuneration, benefits and incentives), with particular focus on our global sectors.
Our client base is very broad, ranging from multinational FTSE 100 companies to small companies owned by the original founder shareholders and VC backed companies. This provides an interesting and varied workload, from setting up the first incentive arrangements for start-up companies, working with companies and our corporate colleagues on a variety of exit incentive arrangements, to advising clients who offer plans internationally in multiple jurisdictions, often together with our colleagues in offices outside of the UK. We work with clients of all sizes structuring, drafting, implementing and then providing ongoing advice on the operation and tax treatment of all forms of share plans and incentives and associated employee trusts. We support corporate colleagues on share plan and incentives aspects of transactions and our employment colleagues on the onboarding and departure of senior employees.
The team is listed in both Chambers (Band 3) and Legal 500 (Tier 2).
Share plans and incentives draw on a number of areas of legal knowledge: tax, employment, governance and regulatory, corporate and commercial. It requires drafting skills with a good eye for detail, an ability to communicate technical concepts clearly in plain English, an organised and practical approach, strong project management skills, the ability to deal with a range of people and personalities, and a sense of humour!
Your work within the team will comprise the following areas:
- Advising on the structure and implementation of equity incentive arrangements taking into account, as appropriate, tax, corporate law, corporate governance and other associated legal aspects affecting the operation of such arrangements.
- Drafting the rules and agreements of share plans and associated employee and company documents.
- Carrying out legal and tax due diligence across multiple countries in respect to the operation of share plans in multiple jurisdictions.
- Advising on the operation of and structuring of employee benefit trust arrangements and their operation in conjunction with equity and cash awards.
- Providing corporate support in respect of equity arrangements on a wide variety of transactions including private M&A, public company takeovers and listings.
- Working closely with employment colleagues in respect of joiner and leaver situations, and assisting in preparing settlement agreements.
- Advising on the Financial Services Remuneration Codes.
- Providing advice and thought leadership to our clients on corporate governance and executive remuneration issues.
