The Legal Division is looking for an attorney to serve as the primary advisor in the Americas on netting and collateral enforceability across financial products traded in the Global Banking & Markets Division, as well as to serve as coverage attorney for the GS Select business (which provides securities-based lines of credit to clients of registered investment advisors). The role is within the Prime Services and Securities Financing Transactions Legal team, which is part of Equities Legal within the broader Global Banking & Markets Legal team. The role will be based in Dallas or New York.
RESPONSIBILITIES
- Determining the Firm’s netting and collateral rights in the event of a counterparty default across various transaction and agreement types. This includes reviewing netting and collateral enforceability opinions and working with external counsel and industry groups, as appropriate, to get additional guidance.
- Working with various stakeholders across the Firm (including Risk, Controllers, Trading Desks, Operations, and Engineering) to address open questions and issues and apply the legal conclusions to live or potential exposures.
- Advising on all aspects of the GS Select business, including the loan agreements, the agreements with intermediaries, as well as live client-service issues.
- Giving strategic advice to the GS Select business on new products and developments.
- Advising on the implementation of and ongoing compliance with key relevant regulations and associated obligations.
SKILLS, EXPERIENCE AND QUALIFICATIONS
- 4+ years of relevant legal experience post law school.
- Familiarity with relevant commercial law (e.g., Article 9 of the UCC), as well as relevant insolvency laws (including the qualified financial contract safe harbors in the Bankruptcy Code, the Securities Investor Protection Act, Party 190 of the Bankruptcy Code, the Federal Deposit Insurance Act, and the Orderly Liquidation Authority of Dodd Frank).
- Familiarity with secured lending and account control agreements.
- Excellent communication skills, both oral and written.
- Dynamic approach, with an intellectual curiosity that will enable you to develop within the role and effectively identify legal issues and/or risk.
- Team oriented, with the ability to work within a collegiate environment with multiple stakeholders across different locations.
- Ability to prioritize work effectively, be proactive in a challenging business environment and to respond to client demands in a timely manner.
