Position Overview

Sagard is seeking a Corporate Clerk with strong corporate legal administrative experience to support the end-to-end coordination of portfolio and fund transactions across Sagard’s strategies—especially venture capital, growth equity, and private credit.

The Corporate Clerk will play a key role in preparing, organizing, and tracking the documentation and execution steps related to investments, exits, financings, restructurings, and other complex transactions. The role requires meticulous attention to detail, excellent organizational skills, and the ability to manage multiple concurrent deadlines.

Key Responsibilities

  • Coordinate transaction closing logistics across venture capital, credit, and fund-level deals (e.g., equity financings, debt investments, secondary sales, redemptions).
  • Assemble, format, and distribute signature packages and closing binders in coordination with deal teams, legal counsel, and third-party vendors.
  • Prepare, review, and track ancillary documents, including NDAs, board resolutions, incumbency certificates, officer certificates, and closing checklists.
  • Maintain internal transaction records, cap tables, corporate databases, and digital closing documentation repositories (e.g., iManage, entity management systems).
  • Liaise with external counsel, compliance, tax, and operations teams to ensure proper execution, governance, and post-closing deliverables.
  • Support KYC, BOI, and corporate data requests as needed across multiple jurisdictions and strategies.
  • Assist in the review and formatting of internal legal documents and provide general assistance on daily matters.
  • Help develop, document, and improve transaction management workflows and legal operations processes.

What We Are Looking For

  • 5+ years of experience in a law firm or in-house legal department (alternative asset management or corporate law preferred).
  • Deep familiarity with corporate closing processes in venture capital, private credit, or private equity.
  • Proficiency with corporate governance documents, closings, and entity management best practices.
  • Excellent organizational, project management, and multi-tasking skills.
  • Clear and confident communicator with strong interpersonal skills.
  • Comfortable working under pressure and managing shifting priorities in a dynamic environment.
  • Tech-savvy and process-oriented; familiarity with iManage, Carta, or Diligent Entities is a plus.
  • Bachelor’s degree or paralegal certificate preferred.
