This is the start of your adventure at Aptar :

We are seeking a seasoned legal professional to lead and support Aptar’s M&A activities and corporate governance initiatives across the EMEA region. This role will be instrumental in managing complex transactions, advising on legal structures, and ensuring compliance with corporate governance standards. The Senior Legal Counsel will work closely with executive leadership, cross-functional teams, and external advisors to enable strategic growth while maintaining legal integrity.

 

Reporting to the VP Legal EMEA, your main responsibilities will be:

 

Mergers & Acquisitions

  • Lead legal support for M&A transactions, including due diligence, structuring, negotiation, and integration.
  • Draft and review transaction documents such as NDAs, term sheets, share purchase agreements, and transition service agreements.
  • Coordinate with external counsel and internal stakeholders to manage deal execution and post-closing matters.
  • Advise on legal risks and mitigation strategies related to acquisitions, divestitures, joint ventures, and strategic partnerships.

 

Corporate Governance :

  • Support corporate secretarial functions for EMEA entities, including board and shareholder meetings, resolutions, and filings.
  • Ensure compliance with local corporate laws and internal governance policies.
  • Advise on director duties, conflicts of interest, and governance best practices.
  • Assist in the implementation of group-wide governance initiatives and legal entity management.

 

Strategic advisory :

  • Provide legal guidance on corporate structuring, reorganizations, and cross-border legal matters.
  • Collaborate with Finance, Tax, HR, and other departments to align legal strategies with business objectives.
  • Monitor legal developments and assess their impact on Aptar’s governance and transactional activities.

 

Our future colleague :

 

  • Qualified lawyer with 8–12 years of experience in M&A and corporate law, preferably in an international environment or law firm.
  • Strong transactional experience, including cross-border deals and corporate governance advisory.
  • Master’s degree in business law.
  • Fluent in English; proficiency in French or other European languages is a plus.
  • Strategic thinking and business acumen.
  • Legal risk assessment and negotiation skills.
  • Stakeholder management and communication.
  • Integrity and professional ethics.
  • Ability to manage multiple priorities in a dynamic environment.
