Administrative Consultant Legal with experience in corporate, transactional, Sofom regulatory compliance, financing, contracts law, or contracts administration. Support to the Sales and Risk areas of the Business in documenting commercial financing (operating and capital leases, and loans) for Mexican companies, either booked locally or cross-border. Responsible for independently drafting legal documents/agreements or side letters, performing research, support lawyers with projects / transactions, independently manage transaction closings, provide legal support to other functional teams within the business as Sourcing, Operations, and Human Resources, and coordinate the report filing to the CNBV and financial regulator within a regulated Sofom.

Responsibilities:

  • Preparation and review of financing contracts and agreements, as well as other collateral agreements and guaranties, drafting lease agreements, amendments/extensions, termination agreements, letter agreements and side letters, for Sofom regulated company. Assist deal teams in drafting confidentiality agreements and other pre-closing documents, providing support to the Sales and Risk areas, as well as to the other functional areas of the Company. Assist Commercial team in the negotiation of financing contracts and agreements with potential customers.
  • Assist in transaction closing process by reviewing articles of incorporation and powers of attorney. Responsible of reviewing and drafting legal assessments. Organizing legalization and apostilles. Independently manage transaction closing documents and coordinate with deal team members and outside counsel.
  • Assist maintenance of standard form pre-closing /closing documents and various legal databases.
  • Provide help and support with gathering information, conduct research related to law principles.
  • Participate in lean of processes, as well as in any other simplification and/or growth projects. Work with cross-functional teams on specialized business improvement projects as assigned by counsel.
  • Uphold Document Management policies and ensure completeness, coordinating the activities of notaries and public brokers for contracts and amendments. Follow up on registration of collateral agreements.
  • Uphold Compliance policies. Report out to assigned senior attorneys and outside parties as necessary. Assist team in reviewing legal agreements to ensure compliance with policies.
  • Drive delivery of critical legal initiatives: budgeting, billing and accounts payable, legal entity tracking, etc. Responsible for invoicing and approval process.
     

Qualifications:

  • Licensed attorney holding a Law degree
  • At least 1 years of experience.
  • Proven organization and communication skills able to prioritize and multitask.

  • Self-starter and proactive problem solver able to work independently.
  • Detail oriented.
  • Ability to multi-task and prioritize.

  • Ability to manage broad agenda, track and monitor progress against its completion; anticipate agenda changes and proactively address potential conflicts.
  • Ability to work effectively within a team and independently.
  • Unyielding integrity and able to preserve absolute confidentiality.
