Summary: Dickinson Wright LLP is a full-service business law firm located in the financial district in downtown Toronto. Staff designated at Dickinson Wright LLP (“the Firm”) as Law Clerks are responsible for providing professional support services to Lawyers and Clients of the Firm as assigned or otherwise necessary, on a full time basis, unless otherwise arranged with the Firm.

Essential Duties and Responsibilities:

Essential duties and responsibilities of staff designated as Law Clerk at the Firm include but are not limited to:

  1. Drafting corporate agreements and resolutions;
  2. Drafting documents relating to incorporation and organization, amalgamations, continuances, and dissolutions;
  3. Conducting minute book reviews;
  4. Preparing and filing extra-provincial registrations, limited partnership registrations and business name registrations;
  5. Preparing transactional documentation relating to corporate acquisitions, restructurings and reorganizations;
  6. Organizing and maintaining electronic data rooms; and
  7. Assisting with closings.
  8. 1400 billable hours per year (target)

Qualifications, Skills and Abilities Required:

Corporate Law Clerk must:

  1. 7+ years’ experience in the areas of Corporate Law;
  2. Strong communication/interpersonal skills (both verbal and written) including liaising with clients, and at all levels within the firm
  3. Team player with a positive attitude
  4. Excellent time management, organizational and prioritization skills.
  5. Ability to work independently and within tight timelines.
  6. Ability to take initiative and be resourceful.  

 

Working Conditions:

Normal law office environment with little exposure to noise, dust, temperature.
