We are assisting one of our clients with their search for a Corporate Tax Associate for their growing practice. The role represents the organization in its dealings with federal, state, and local taxing authorities. Client representation and casework include federal and state tax controversy, examinations, appeals, and tax litigation, but with a strong emphasis on corporate tax planning and optimization. The role will support clients in structuring and executing corporate transactions with a tax-efficient strategy, including mergers and acquisitions, reorganizations, restructurings, and cross-border considerations.

Responsibilities also include assisting senior staff in implementing comprehensive tax strategies for clients, covering areas such as entity selection, choice-of-entity planning, Section 1202/199A optimization, executive compensation planning, charitable giving, and international tax compliance. The position will also support quarterly and annual tax planning, modeling, and forecasting to help business owners and their companies reduce long-term tax burdens.

This is a client-facing position and is expected to deliver high-value tax advisory services, ensuring that clients achieve both compliance and optimization in their corporate structures and transactions while preserving optionality for future growth and exit planning.

Essential Duties & Responsibilities

• Effectively communicate with clients, other counsel, Federal and State Agencies, and other Strategic Allies

• Participate in office hours with Senior Attorney and appropriate legal team

• Manage case management software (CLIO) to include all communications between clients, outside entities, and internal staff; requested documents and information are received timely, timely payment of invoices and other information as needed

• Provide input and feedback to maintain an excellent client experience

• Interact diligently with representatives from the Internal Revenue Service (IRS) and State of California and other government agencies as needed to advance the case, both in person and remotely

• Prepare and analyze client financial reports

• Handle evaluation, risk assessment, and counseling on various complex tax problems

• Prepare correspondence and legal documents for the IRS and State agencies

• Anticipate and mitigate potential legal problems within the law firm or for the client, and develop strategies to avoid costly litigation and reduce potential areas of risk

• Accurately track time spent on each client case

• Manage workflow, complete tasks daily, ensure internal and external deadlines are met, files are organized and up-to-date, and work is completed correctly and save appropriately

• Have a solid understanding of what the case strategy is and current progress of all assigned matters

• Delegate work to legal assistants and paralegals assigned to assist with clients/matters

• Possess comprehensive working knowledge of federal and state tax laws through resourceful research and continued education

• Build and nurture connections with internal team members as well as external clients and entities

• Build upon relationships to create a healthy pipeline of client work

• Follow all Firm policies and procedures

Qualifications | Competencies | Success Factors

Qualifications:

• JD, required

• 3-8 years of experience

• Member in good standing of the California (or other State Bar) and Federal Bar Associations

• Proficiency in Adobe and MS Office with expertise in Microsoft Word and Excel

• Strong writing capabilities

• Demonstrable experience in:

o Supporting handling complex tax controversies (rules, regulations, strategies)

o Managing a caseload under oversight, meeting targets for resolution and revenue per case

o Directing/overseeing the work of paralegals, and assistants

o Completing tasks and projects in a timely manner

o Successfully working in a fast-paced office environment

o Tax preparation (preferred)
