Winnebago Industries is seeking a Corporate Paralegal based in Eden Prairie, MN to support our general counsel. This role is hybrid. The Corporate Paralegal will play a key role in supporting our Company’s corporate governance processes, the Board of Directors, SEC and NYSE compliance, and other legal and administrative matters. This position also includes the opportunity to work on commercial matters, including commercial contracts, outside counsel management, litigation, business licenses and intellectual property.  The Corporate Paralegal will need to be detail-oriented, proactive, and capable of managing multiple priorities in a fast-paced environment.

Day to Day of the Role:

Corporate Governance and Board Support:

  • Assists with preparation and distribution of Board and Committee agendas, materials, minutes, and resolutions.
  • Maintains corporate records and governance documents (charters, policies, etc.).
  • Supports Director onboarding, education, and annual assessments.
  • Manages Director compensation.
  • Assists with Board and Committee meetings, including scheduling and communications.
  • Some travel is required for off-site Board and Committee meetings.

Securities Filings:

  • Prepares and files Form 4s and assists with other Section 16 reporting obligations.
  • Supports the Legal team in preparing and reviewing proxy statements and other SEC filings.
  • Maintains insider trading lists and coordinates window notices.

Commercial Matters:

  • Assists with trademark registration, maintenance and renewals.
  • Assists with formation, dissolution, and maintenance of legal entities; manages corporate filings and business licenses.
  • Reviews and maintains commercial contracts and administers contract management system.
  • Supports internal business units with respect to dealer franchise matters.
  • Assists with outside counsel management and litigation matters.

Legal Department Support:

  • Supports special projects and cross-functional initiatives as needed.

 

Education & Experience:

  • Bachelor’s degree required; Paralegal certificate preferred.
  • Minimum of 7 years of corporate paralegal experience, preferably in a public company or top-tier law firm.
  • Experience supporting public company corporate governance, SEC reporting, NYSE listing standards compliance, and entity management.
  • Strong technological proficiency in Microsoft Office (Outlook, Word, Excel, Power Point) and Adobe Acrobat
  • Proficiency with board portal software (e.g., Diligent).
  • Notary public license or willingness to obtain is a plus.
  • This position may require travel to other Winnebago locations.

This posting includes a range of the salary across a geographical market. The base pay for this position ranges from $100,000/year in our lowest geographic market up to $135,000/year in our highest geographic market. Pay is based on a number of factors including market location, internal equity, job-related knowledge, skills, and experience. Dependent on the position other forms of compensation may be provided as part of a total compensation package, in addition to a full range of medical, financial, and/or other benefits.
