The Role

OpenTeams Incubator is looking for a detail-oriented and self-driven remote full-time Corporate Counsel to support our expanding organization. This is a hands-on role ideal for someone who thrives in a fast-paced environment and is excited to be part of a scaling tech company.

You will work closely with leadership and will contribute to shaping strategy. This role comprises a mix of corporate governance, M&A, fund compliance, commercial contracting, privacy/data policy, and international issues. It’s a broad role with significant variety. Applicants should reside in the United States and be able to collaborate with co-workers in the US time zones.

Responsibilities and Requirements

Strong Corporate Background
* The OpenTeams ecosystem includes over 23 distinct corporate entities. The ideal candidate should be able to advise on and prepare corporate documentation related to equity interests (including employee incentive plans, SAFEs, convertible notes, warrants, and cap table management), board and shareholder meetings, and corporate organization and structure.
* Familiarity with the DGCL is particularly beneficial, as most of our entities are incorporated in Delaware.
* Ability to advise on shareholder relations.
* Experience identifying and addressing conflicts of interest within affiliated entities as our various entities continue to grow.
* A strong track record of establishing multiple, varied companies with diverse business needs and advising through early growth stages.
* Familiarity with general corporate regulation compliance and corporate lending.
 
Mergers & Acquisitions (M&A)
* Familiarity with and the ability to structure M&A activities is helpful for both external acquisitions (several are currently planned) and internal consolidation within the ecosystem to reduce the complexity of our current corporate structure.
 
Financial Regulation Compliance
* As our legal team supports several venture funds, the ability to advise on compliance regarding unregistered investment offerings and other SEC compliance issues is highly desirable.
* A track record of setting up and managing various investment vehicles.
* Ability to advise on investor relations.
 
Commercial Contracting
* Ability to advise on various types of commercial contracts, including service contracts (both prime and subcontractor), government and private grants, confidentiality agreements, employment agreements, and independent contractor agreements.
* The ability to reshape incoming intellectual property terms and conditions to accommodate and encourage the use of open-source materials when desired.
 
Privacy Regulation Compliance and Data Minimization
* Experience with privacy notices across all websites and internal data policies, including previous experience with data sharing across affiliates and international borders.
 
Tax Consequences
* A good understanding of tax consequences, policies, and potential pitfalls.
 
International Experience
* Previous experience with international efforts.
