Job Description

 
 

The Paralegal will support AGPM’s legal entity compliance, maintenance and transaction function. This position will report to the CFO and will be primarily responsible for maintaining the legal entity structure, filing miscellaneous legal documents, managing legal files, and assisting with transactions. 

 
 

Job Requirements

Responsibilities include, but are not limited to:

· Legal Document Preparation: Draft and review contracts, agreements, resolutions, and other partnership documents.

· Legal Filings: Prepare and file documents with government agencies, such as Certificates of Incorporation, annual reports, and other compliance filings

· Record Keeping: Maintain accurate records of corporate activities, including minutes of meetings, stock ledgers, and other essential documentation

· Due Diligence: Conduct research and gather documentation for acquisitions, dispositions or other transactions.

· Research and Analysis: Assist with legal research related to partnership laws, regulations, and compliance requirements.

· Compliance Monitoring: Ensure the company’s adherence to legal and regulatory requirements, including updating corporate records

· Communication Support: communicate external parties such as government agencies, loan servicers, and legal counsel.

· Assist with Transaction Support: Support legal teams during negotiations, drafting, and closing of deals.

· File Management: Organize and maintain legal files, documents, and correspondence related to legal entity and transaction matters.

· Other Administrative Tasks: Schedule meetings, prepare agendas, and assist with miscellaneous legal and administrative duties as needed.

Experience & Certifications:

Bachelor’s degree and/or paralegal certification is preferred.

Prior experience in law firm, legal department with a focus on business law, partnership law, etc. is preferred.

Strong computer skills including proficiency in Microsoft office suite 

Trustworthy with attention to confidentiality

Outstanding organizational ability with great attention to detail

Excellent communication skills

Strong critical thinking skills
