Position Summary:
Perforce is seeking a highly skilled Senior Contracts Manager to join our UK team in Bracknell, supporting commercial transactions across the UK and EMEA, with responsibility for deals spanning multiple jurisdictions.
The ideal candidate will have deep experience in technology and software transactions, be comfortable negotiating with large enterprise customers and partners, and be adept at balancing legal risk with commercial objectives. UK legal qualification (England & Wales) is preferred but not essential, but extensive relevant commercial contracting experience will also be considered.
We are looking for a candidate who operates in accordance with the highest standards of judgment, integrity, and ethical leadership to find solutions that best serve our customers and partners, while prudently managing risks and contributing to Perforce’s enterprise success.
This role will work closely with Sales, Customer Success, Professional Services, Marketing, Information Security, Finance, and other business stakeholders across EMEA as required to negotiate and manage contracts and ensure compliance with contractual obligations. The individual in this role will also be responsible for identifying commercial risks and opportunities, and for supporting business development initiatives.

Responsibilities
Draft, review, and negotiate a broad range of commercial agreements, including:
Software license agreements (on-premise and SaaS);
Professional services agreements;
Partner, reseller, and channel agreements;
Data processing and information security agreements; and
Assignment/assumption agreements.
Serve as a trusted business partner, providing practical, solutions-focused legal advice that enables sales and business goals while mitigating risk.
Identify, assess, and clearly communicate contractual risks and opportunities in revenue transactions.
Partner with internal stakeholders to resolve contract-related issues promptly and effectively.
Support process and template improvements, playbook updates, and contract lifecycle management enhancements.
Maintain and organize the EMEA commercial contracts database, ensuring contracts are current, executed, and compliant.
Collaborate with global legal colleagues to align on best practices, share knowledge, and ensure consistency across regions.
Monitor and advise on relevant legal and regulatory developments in the UK and EMEA (including UK GDPR, competition law, DORA, and export controls).
Requirement
5+ years of experience in drafting and negotiating complex technology/software agreements, including SaaS and licensing transactions.
Strong knowledge of UK and EMEA contract law and commercial negotiation practices.
Proven track record managing enterprise-level deals and building positive relationships with business teams.
Ability to work independently, handle multiple priorities, and meet deadlines in a fast-paced environment.
Excellent drafting, negotiation, and communication skills.
Commercially minded with a pragmatic, solution-oriented approach.
Collaborative team player with strong interpersonal skills.
Adaptable, resilient, and able to thrive in changing or ambiguous situations.
High integrity and commitment to ethical business practices.
Strong organisational skills and attention to detail.
Desirable:
UK-qualified solicitor (England & Wales) or equivalent.
In-house experience at a global technology or software company.
Familiarity with data protection/privacy law, revenue recognition principles, and compliance topics (anti-bribery, competition, export control).
Experience with contract lifecycle management systems.
