Responsibilities
- Review, analyze and negotiate customer contracts to ensure accuracy, appropriate terms and completeness
- Support all phases of the contracts and subcontracts administrative cycle
- Support the legal review and execution of contractual documents (contract, non-disclosure agreements, etc.)
- Work with our legal team, generate, modify and administer software contracts, amendments and related legal documents
- Process contractual documents including; awards, modifications as well as contract renewals
- Support business development efforts to include review and execution of teaming agreements, reseller agreements, etc.
- Review solicitations for risk and compliance, complete solicitation forms including standard forms, representations and certifications and other required documents
- Support subcontract administration and order processing
- Support (data entry, review and ad-hoc reporting) for Company agreement repository and contract lifecycle systems
- Promptly respond to inquiries from internal business units and delivery teams regarding contract information
- Act in the capacity of an information resource providing contractual validations and advice
- Support team members to ensure compliance, legal and operations teams to ensure all aspects of the contracting process meet company and federal requirements
Qualifications
- Bachelor’s degree coupled with contract administration or comparable paralegal experience; OR a High School diploma coupled with 5+ years of contract administration experience
- Minimum of six (6) years’ state and federal contract lifecycle administration experience:
- Working knowledge of administering fixed and hybrid type contracts and subcontracts (firm fixed price, labor hour, fixed unit price and time & materials)
- Working knowledge and familiarity with GSA Schedules, Federal Acquisition Regulations (FARs), Defense Federal Acquisition Regulations (DFARs), False Claims Act, etc.
- Familiarity and working knowledge of various Government portals (GSA eBuy, Advantage!, GSA vendor portal, SAM.gov, etc.)
- Experience should include a minimum of four (4) years’ contractual agreement review, negotiation and execution to include; contract, subcontract, NDA, teaming agreement, reseller agreement, representations and certifications, assertations, etc.
- Comprehensive knowledge of industry business practices and the negotiation of state government, US government, commercial items and SaaS contracts
- Experience with administering subcontracts and subcontractor orders, NDAs, teaming agreements, and various other types of agreements.
- Knowledge of federal and state procurement processes, including an understanding of contract vehicles such as GSA schedules, SEWP, NASPO ValuePoint, Sourcewell, CA SLP, NY OGS, etc.
- Solid understanding of software technology and cloud services within the public sector.
- General understanding of state and federal acquisition regulations such as various state regulation manuals, FAR and DFARS.
- Strong communication skills and the ability to work and interact well with a variety of stakeholders and team members both in-person and remotely.
- Work well in a deadline oriented environment
- Proficient in the use and application of MS Office suite apps
