Overview:

The Contract Specialist reviews and negotiates complex General Contractor/Owner agreements, Master Service Agreements, and subcontracts, and proposes alternative language to manage Alterman’s risk exposure while establishing mutually agreeable positions. This position will have the responsibility to clear certain low-risk variances from Alterman’s risk tolerance profile without further legal review within predetermined parameters. The Contracts Specialist will support one or more internal divisions and will work with all levels of employees, management, and external clients. 

 

Essential Functions:

1. Contract Review and Administration: 45%

  • Performs contract review to identify gaps and risks and proposes alternative positions and provisions based on experience with closing similar opposing positions.
  • Works with General Counsel/Director of Risk Management in standardizing compromise positions with respect to controversial positions.
  • Identifies opportunities, potential impacts, and key provisions from the contract and Prime Contract for use by the Estimating/Operations team during pre-award and post-award activities.
  • Coordinates and performs pre and post award activities including coordination of client due diligence, contractual insurance, and bonding requirements. Ensures all documentation is received and prepares contract administrative deliverables for signatures through final execution.
  • Manages contract tracking and document retrieval through company’s established contract processes and project record-keeping.
  • Leads the drafting of legal correspondence on contract related issues.
  • Handles additional administrative functions such as handling of computerized databases, assisting in the completion and distribution of contract documents and compliance deliverables, and project record keeping.

2. Negotiation and Risk Management: 25%

  • Participates in negotiations on controversial points as needed.
  • Creates redline documents to accurately capture contract negotiations between all parties.
  • Discerns, manages, and informs internal stakeholders of potential risk throughout the project life cycle.

3. Collaboration and Support: 25%

  • Collaboratively participates in cross-functional teams comprised of business managers, project managers, and estimating, purchasing, finance, safety, and human resource teams. 
  • Provides informal training with internal business partners as to good contract management and contracting principles to establish and maintain credibility for the contracting function while increasing service to our internal business partners.
  • Assists other groups with information, forms, reports, and other department analytics.
  • Completes special projects as assigned.

4. Performs other duties as assigned. 5%

Education and Experience:

  • Bachelor's degree in a business-related field, Pre-Law, or an equivalent background required.
  • Other professional legal certification is preferred.
  • At least 3 years of experience in negotiation, revision, finalization, and administration of simple and complex contracts in a construction, legal, or risk management related industry in a non-procurement role required.
  • Demonstrated experience with reading, interpreting, summarizing, and negotiating various types of non-standard contract documents generated on 3rd party paper required.

Skills/Abilitites:

  • Superior oral and written communications skills.
  • Strong analytical and problem-solving skills.
  • Superior attention to detail.
  • Proficient with Microsoft Office Suite, including the redline and version control of Word, and working knowledge of Adobe DC including text editing and document markups. Experience with DocuSign is desired.
  • Able to use or learn how to use contract management software.
  • Able to demonstrate a thorough understanding of contracting principles and laws.
  • Able to use available resources to develop an understanding of the Owner/General Contractor, Master Service Agreements, and subcontract requirements and see interdependencies between various provisions and the underlying project objective.
  • Able to prepare and deliver information concisely orally and in writing to address an educationally diverse group of employees at all levels of the organization and individuals outside the organization.
  • Able to effectively plan, organize, and control the work process to meet deadlines.
  • Able to follow written and oral instructions from leadership and use available internal and external resources to achieve tasks.
  • Able to work collaboratively and interface with members of various departments.

Work Environment:

  • Office environment with potential occasional travel.

Physical Demands:

  • Prolonged periods of sitting at a desk and working on a computer.
  • Manual dexterity associated with computer data entry required.
  • Must be able to talk and hear.
  • Must be able to lift up to 15 pounds at times.
