Position Summary

The Company Secretary will be responsible for ensuring the organization’s compliance with statutory and regulatory requirements as per the Companies Act and other applicable laws in India as well as for overseas entities.  The role demands strong expertise in corporate governance, board management, and liaison with regulatory authorities. The candidate will work closely with senior management and the Board of Directors to maintain high standards of corporate governance and transparency.




Key Responsibilities

  • Ensure compliance with all provisions of the Companies Act, 2013 in India, and other relevant laws

  • Prepare, review, and file statutory documents, including annual returns, board resolutions, and ROC filings

  • Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings — including drafting agendas, minutes, and maintaining statutory registers.

  • Advise the Board on good governance practices, legal and regulatory updates, and corporate policies

  • Liaise with internal and external auditors, consultants, and legal advisors.

  • Oversee maintenance of secretarial records, share certificates, and ESOP documentation for all entities

  • Advise management on corporate governance and ethical business practices.

  • Ensure timely filings as required by different regulators in multiple markets

  • Maintain complete documentation for all company secretarial and board-related activities in a repository

Required Qualifications

  • Education: Member of The Institute of Company Secretaries of India (ICSI).

  • Experience: Minimum 10 years of post-qualification experience in a MNC.

Skills & Competencies

  • Strong understanding of corporate laws and international corporate structures.

  • Excellent communication and drafting skills.

  • High attention to detail and ethical integrity.

  • Ability to manage multiple entities and jurisdictions (especially for MNC subsidiaries).
    Proven track record in managing board affairs and regulatory filings.
