POSITION SUMMARY:
Our paralegal will work closely with the General Counsel, Legal team and Executive Leadership and assist AHP in many facets supporting multi-state operations, including regulatory filings, assistance with transactional matters, maintenance of corporation records for parent and subsidiaries, and general corporate paralegal duties.
ESSENTIAL FUNCTIONS: To perform this job, an individual must perform each essential function satisfactorily with or without a reasonable accommodation.
• Draft and maintain corporate filings and minute books for numerous legal entities, including formation, foreign qualification, trade names, actions/consents, withdrawals, and annual reports to ensure good standing.
• Assist with the management of litigation matters, preparing legal hold notices and maintaining litigation records
• Maintain calendar of annual and quarterly regulatory filings for insurance holding company and affiliates for multi-state insurance operations
• Assist with preparation of routine regulatory filings and track status towards meeting deadlines
• Assist with organization of regulatory audits and examinations and track status towards meeting deadlines
• Assist attorneys in licensing matters, including applications, renewals, and reporting.
• Assist with Mergers and Acquisitions activities, including preparing due diligence lists and materials and providing organizational support
• Assist in preparing materials for corporate insurance renewals and maintain policies
• Draft contracts from preapproved templates for attorney review
• Manage contracting process and contract database, entering data for entry into contract database fields, filing contracts in the contract management system
• Assist in preparation for numerous board meetings and preparation of minutes and actions by written consent
• Perform basic legal research
• Support General Counsel in calendaring meetings and other tasks in managing the Legal Department
• Perform routine administrative tasks
Required Skills:
• Candidates must have excellent interpersonal, organization and follow-up skills with the ability to handle multiple assignments simultaneously
• This position requires a high level of integrity, as this position will be exposed to confidential and sensitive information
Required Work Experience:
• Minimum 3+ years law office and/or in-house legal department experience
• Contract management experience
Licensing/Certification/Education Requirements:
• Bachelor's Degree preferred but not required
• Certificate in paralegal studies or equivalent certifications or licenses preferred
Other Requirements:
• This position requires a physical presence in the office
• Position may require unscheduled overtime, week-end work
• Must be willing and able to work flexible hours
• Occasional Travel may be required

• Proficient with all Legal software (PDF, Docusign
• Microsoft Office products (Excel, Word, Outlook and PowerPoint)
