The Ontario Securities Commission (OSC) is the statutory body responsible for regulating Ontario’s capital markets in accordance with the mandate established in the provincial Securities Act and the Commodity Futures Act. The mandate of the OSC is to provide protection to investors from unfair, improper or fraudulent practices, to foster fair, efficient and competitive capital markets and confidence in the capital markets, to foster capital formation, and to contribute to the stability of the financial system and the reduction of systemic risk. This mandate is performed through policy, operational, and enforcement activities. The OSC also contributes to national and global securities regulation development.

The Investment Management Division is responsible for regulatory engagement with investment fund managers and portfolio managers. It oversees the regulation of investment funds offering securities in Ontario. Our role is crucial in fulfilling the OSC’s mandate of providing investor protection and fostering confidence in the capital markets. We aim to deliver effective regulatory actions while ensuring our framework remains responsive to evolving needs, risks, and practices.We lead the development of new rules and policies within the OSC and the Canadian Securities Administrators (CSA) to adapt to the changing investment fund and asset management industry. We recognize the importance of fostering innovation to enhance the investor experience.
Position Overview: We are recruiting for a Legal Counsel II to play an integral role in ensuring investor protection and supporting confidence in the capital markets. The Legal Counsel II will be involved in policy and legislation related to the regulation investment funds, portfolio managers, and investment fund managers.
Scope of Activities:
•Reviewing and addressing investor protection issues related to investment fund product offerings (including mutual funds, exchange-traded funds, scholarship plans, and labour-sponsored funds).
•Assessing investment fund product disclosure, including prospectus and continuous disclosure filings.
•Review and providing recommendations on applications for discretionary relief from Ontario securities legislation.
•Regulating firms registered with the OSC as portfolio managers and investment fund managers.
Requirements:
•Member in good standing with the Law Society of Ontario and 4-7 years of relevant experience (law firm, securities industry, financial regulatory sector) securities/industry since your call to the bar.
•Demonstrated ability to participate in and potentially lead complex projects involving regulatory policy and rule amendments.
•Strong understanding of the Canadian securities regulatory environment, underlying public policy issues and the ability to strategically assess the impact of regulatory actions on stakeholders and markets.
•Significant experience reviewing prospectuses, material contracts, and regulatory applications, including mentoring team members in these processes.
•Ability to break down complex problems, research and seek new information, analyze and anticipate obstacles and risks, and develop appropriate recommendations.
•Creativity and results-oriented mindset.
•Ability to balance regulatory objectives with investor protection principles and practical business considerations.
