Summary: Fried, Frank, Harris, Shriver & Jacobson LLP is seeking a highly motivated Capital Markets 1st or 2nd Year Junior Associate to join its dynamic and growing London-based Capital Markets team. The successful candidate will work closely with market-leading partners on complex, cross-border transactions across a wide spectrum of equity and debt products. This is a rare opportunity to operate at the heart of U.S./UK capital markets, advising leading private equity sponsors, corporates, and financial institutions on high-profile matters.

Responsibilities:

• Collaborate with partners and colleagues on a wide range of equity and debt capital markets transactions.
• Provide legal advice and support on cross-border transactions for private equity sponsors, corporates, and financial institutions.
• Draft and negotiate transaction documents with a focus on accuracy and detail.
• Assist in the preparation of offering documents, including prospectuses and other regulatory filings.
• Conduct legal research and provide insights on U.S./UK capital markets regulations.
• Participate in client meetings and negotiations to advise on legal matters.

Qualifications:

• JD qualification from a U.S. law school preferred (UK/EU-qualified candidates with U.S. capital markets experience will also be considered).
• Strong drafting skills, commercial awareness, and attention to detail.
• Ability to thrive in a fast-paced, collaborative environment with high-performing teams.
