We are hiring for a leading consulting firm specializing in legal and compliance advisory within the Web3 sectors. They are at the forefront of addressing complex legal and regulatory challenges, particularly in the rapidly evolving Web3 space. 

We’re looking for a few Legal Counsel to join their company. The successful candidate will provide expert legal advice on investment transactions, regulatory compliance, corporate governance, and risk management. This role requires a deep understanding of financial regulations, cross-border transactions, and investment structuring, ensuring legal integrity while enabling the firm’s strategic objectives. 

Job Description

• Assess legal risks, and provide strategic legal solutions on potential projects and investments, including assessing the legal, financial, and corporate governance frameworks of potential acquisition targets.
• Responsible for key documents such as subscription agreements, limited partnership agreements (LPAs), and offering memoranda for venture capital/real estate funds/private equity etc.
• Draft side letters, handling investor relations, and supporting ongoing fund reporting and regulatory obligations.
• Provide legal guidance on investment transactions, mergers & acquisitions, private equity, venture capital, and fund structuring.
• Handle and advise clients on fund-related regulations and ensure compliance with securities laws, financial regulations, and cross-border legal frameworks across multiple jurisdictions.
• Draft, review, and negotiate a wide range of agreements, including investment contracts, shareholder agreements, and corporate documents.
• Work closely with investment teams to structure deals, assess legal risks, and provide strategic legal solutions.

Requirements

• 1–4 years of post-qualification experience (PQE), preferably in Financial Services or FinTech industries.
• Experience with a top-tier law firm is highly desirable.
• Expertise in the crypto-regulatory landscape and advising on product launches is a strong advantage.
• Proven experience with cross-border transactions and multi-jurisdictional regulatory frameworks.
• Demonstrated ability to conduct legal due diligence on potential investments, including evaluating corporate structures, reviewing contracts, and assessing governance frameworks.
• In-depth knowledge of fund regulations and compliance standards for both local and international transactions.
• Confidence in managing client relationships, including advising investors, negotiating side letters, and ensuring adherence to ongoing legal and regulatory obligations.
• Excellent communication and stakeholder management skills.
• Ability to work independently and excel in a dynamic, fast-paced global environment.
