Position Summary:
We are seeking an experienced Manager Corporate Governance to support the governance and corporate administration of TI Automotive. You’ll be responsible for statutory compliance, subsidiary governance (150+ corporate entities) support to the Board and Committees, and the accuracy of entity data across the group with hands-on ownership of Diligent Entities and day‑to‑day UBO/KYC workflows for banking and counterparties.
This is a visible role interfacing with senior stakeholders (EMEA, APAC and NA time zones), external advisers, and regulators. It suits a proactive, detail driven governance professional who enjoys precision, continuous improvement, and high-level administration.
Responsibilities of Position:
- Draft written resolutions and minutes for our Board of Directors, maintain corporate records including working closely with administrators to maintain D&O registers and relevant appointment/resignation paperwork, including apostille/notarisation processes where necessary.
- Maintain statutory registers (members, directors, secretaries, PSC, charges), oversee PSC/UBO accuracy and updates, and coordinate with Tax/Finance/HR on filings with dependencies.
- Serve as system admin/super user for entity management platform and undertake quarterly reconciliations to Companies House and local registries, manage biannual corporate data health checks, produce and refresh organizational charts, manage share allotments/transfers through Entities, and build out historical data (constitutional documents, minutes and written resolutions, Powers of Attorney, share certificates, D&O appointment/resignation letters, etc.).
- Shareholder Reporting for private equity shareholder quarterly and annual reporting preparation.
- Lead UBO mapping and attestations; prepare KYC packs for banks and counterparties, including certified/incorporation documents, registers, structure charts, and sanctions screening confirmations.
- Support the wider legal team in large-scale projects and transactions relating to financing, M&A and other corporate transactions.
- Act as liaison for audits, providing such corporate information to auditors as may be required, ensuring that all requests as promptly and comprehensively fulfilled.
Education and Experience:
- Diligent Entities (essential)
- Bachelor’s Degree or certification equivalent
- Diligent Entities (required) Diligent Boards (desirable)
- DocuSign (or equivalent e‑signature)
- MS Office, SharePoint/Teams, secure VDRs
Physical Requirements:
- Ability to work at a personal computer for extended periods of time.

Working Conditions:
- Occasionally lifts and carries up to 15 pounds.
- Some of work time is spent standing, walking, lifting and bending.
